• • As a Commercial Counsel for MLabs, you will be at the forefront of legal innovation within the rapidly evolving blockchain infrastructure and decentralized finance (DeFi) space. This pivotal role is designed for a legal professional who thrives in a dynamic, fast-paced environment and possesses a keen understanding of commercial law, with a particular emphasis on technology and international transactions.
• • You will be instrumental in shaping the legal framework that supports our client's mission to build the foundational architecture for the next era of global financial systems. This involves a hands-on approach to managing all contract-related legal matters on an international scale, directly contributing to the company's strategic growth and operational success.
• • Reporting directly to the Chief Executive Officer (CEO), you will serve as a key strategic partner, collaborating closely with cross-functional teams including Sales, Product, and Operations. Your expertise will be crucial in facilitating deal flow, enabling rapid international business expansion, and ensuring the company remains compliant with the complex regulatory landscape of fintech and blockchain.
• • A core aspect of your role will be the meticulous drafting, comprehensive review, and skillful negotiation of a diverse array of legal instruments. This includes, but is not limited to, Software as a Service (SaaS) agreements, Non-Disclosure Agreements (NDAs), Master Service Agreements (MSAs), Data Processing Agreements (DPAs), and various vendor contracts. Your ability to balance legal risk with strategic business objectives will be paramount.
• • You will take ownership of the legal aspects of vendor onboarding processes. This includes conducting thorough Know Your Business (KYB) checks and other essential due diligence procedures to ensure that all partnerships and vendor relationships meet the company's stringent legal and compliance standards.
• • To enhance organizational efficiency and scalability, you will be responsible for developing and maintaining internal legal playbooks, standardized contract templates, and robust, scalable contract management processes. This proactive approach will streamline operations and empower internal teams.
• • Providing strategic legal advisory to internal stakeholders will be a significant part of your day-to-day. You will offer clear, actionable guidance on contract risks, legal obligations, and the ever-changing landscape of regulatory compliance, particularly within the blockchain and financial sectors.
• • Ensuring that all commercial activities are in strict alignment with global data protection standards (such as GDPR) and relevant financial/crypto regulatory frameworks is a critical responsibility. You will stay abreast of regulatory developments and proactively advise on necessary adjustments to business practices.
• • You will also play a key role in managing workflows and collaborating effectively with external legal counsel when specialized expertise is required. This involves identifying the need for external support, briefing counsel, and integrating their advice into the company's legal strategy.
