- • Provide comprehensive legal counsel to CleanSpark’s construction and infrastructure development teams across the United States, ensuring compliance with federal, state, and local regulations governing construction, land use, and energy infrastructure.
- • Draft, review, and negotiate a wide range of construction-related contracts including EPC agreements, construction management contracts, subcontractor agreements, material supply contracts, and site access agreements.
- • Identify, assess, and mitigate legal risks associated with project development, permitting, environmental compliance, and third-party vendor relationships throughout the project lifecycle.
- • Collaborate closely with project managers, engineers, finance teams, and external counsel to align legal strategy with business objectives and ensure timely execution of capital projects.
- • Lead the resolution of construction disputes, including claims, delays, liens, and contract breaches, through negotiation, mediation, or litigation as necessary.
- • Advise on regulatory compliance matters related to energy infrastructure, including interconnection agreements with utilities, grid access rights, and federal energy policy frameworks.
- • Support due diligence activities for new land acquisitions and development opportunities, reviewing title reports, zoning ordinances, easements, and environmental assessments.
- • Maintain up-to-date knowledge of evolving construction law, public procurement rules, and industry standards to provide proactive legal guidance on emerging risks and opportunities.
- • Prepare and deliver legal training sessions to construction and operations teams on contract obligations, risk management protocols, and compliance requirements.
- • Manage external legal counsel and outside vendors, ensuring cost-effective and high-quality legal support for construction projects.
- • Document and maintain accurate legal records for all construction contracts, correspondence, and dispute resolutions in alignment with corporate governance standards.
- • Serve as the primary legal point of contact for construction-related matters, acting as a trusted advisor to senior leadership on legal implications of project decisions.
- • Coordinate with the corporate legal team on corporate governance, securities compliance, and disclosure obligations related to construction project financing and public reporting.
- • Support the scaling of CleanSpark’s national construction portfolio by standardizing contract templates, legal workflows, and risk mitigation frameworks across regions.
- • Participate in project kickoffs, design reviews, and construction milestone meetings to embed legal considerations into operational planning from the outset.
- • Ensure all construction activities comply with CleanSpark’s corporate values of operational excellence and capital stewardship through rigorous legal oversight.
🎯 Requirements
- • Juris Doctor (JD) degree and active membership in good standing with a state bar association
- • Minimum of 8 years of experience in construction law, infrastructure development, or EPC contract negotiation
- • Proven track record of drafting and negotiating complex construction contracts in the energy or industrial infrastructure sector
- • Deep understanding of federal and state construction regulations, permitting processes, and public works laws
- • Experience managing construction disputes, claims, and litigation in high-stakes infrastructure projects
- • Strong ability to work cross-functionally with engineering, finance, and operations teams in a fast-paced, growth-oriented environment
