- • Own the full lifecycle of enterprise commercial agreements including MSAs, order forms, DPAs, BAAs, SOWs, and NDAs as the primary legal partner to Sales and Go-To-Market teams throughout the deal cycle.
- • Serve as product counsel by advising on how AI inference, multi-tenancy, model deployment, data flows, and SLAs translate into contract terms, and translate technical architecture into actionable risk positions for Sales and customers.
- • Own the commercial and legal terms for Baseten’s model marketplace and model distribution agreements, including defining responsibility allocations between Baseten and third-party model providers.
- • Lead the legal workstream for go-to-market and strategic partnerships, structuring collaboration, reseller, and co-sell arrangements that protect Baseten’s IP and independence while enabling distribution.
- • Build, own, and continuously improve commercial templates, playbooks, and standard contractual positions based on market feedback and leadership risk appetite.
- • Partner with Finance on revenue recognition for non-standard deal structures and with Security and Compliance on data protection, regulated-data, and security commitments in customer contracts.
- • Drive deal velocity by identifying which contractual terms are negotiable versus non-negotiable, and clearly explaining trade-offs to Sales Executives, CFOs, and Chief Legal Officers.
- • Advise the Chief Legal Officer on commercial and contractual risk, proactively advocating for updates to Baseten’s legal positions, playbooks, and risk posture as the product and market evolve.
- • Assist on M&A and other strategic or one-off transactions as needed.
- • Help build and mentor the commercial legal team as it scales, contributing across team needs including cross-functional and ad-hoc legal work.
- • Engage directly with Engineering, Sales, and Product teams to understand how Baseten’s AI inference platform operates — including compute, orchestration, deployment, and optimization — to inform contract drafting and negotiation.
- • Maintain deep familiarity with data privacy regulations (GDPR, CCPA) and security provisions as they appear in commercial contracts.
- • Leverage AI-assisted legal tooling to self-serve efficiently and operate at high velocity in a fast-moving environment.
- • Contribute to shaping Baseten’s commercial legal strategy as the company scales from a high-growth startup to an enterprise-grade AI infrastructure platform.
- • Act as a trusted advisor to non-lawyers, translating complex legal and technical concepts into clear, actionable guidance without creating deal friction.
- • Maintain autonomy in a lean legal function, knowing when to own decisions independently and when to escalate for leadership input.
- • Become a recognized thought leader in commercial law at the intersection of AI infrastructure and enterprise SaaS.
🎯 Requirements
- • JD and active bar membership in good standing
- • 8+ years of commercial / technology transactions experience, with meaningful in-house time at a B2B SaaS, cloud, or developer-infrastructure company
- • Demonstrated product-counsel instinct: advised a technical product org, not just papered deals, and can hold your own in conversations about product architecture
- • Proven ability to negotiate sophisticated enterprise agreements at the redline level and manage high deal volume without losing detail
- • Strong working knowledge of data privacy (GDPR, CCPA) and security provisions (DPAs, security addenda) in commercial contracts
- • Clear, direct communicator who can translate legal and technical concepts for non-lawyers and push back constructively without creating deal friction
