📋 Description

• Own and lead negotiations for GPU compute, cloud capacity, and infrastructure-services agreements across Baseten’s multi-provider stack, ensuring flexibility, exit optionality, and enforceable SLAs are embedded in contracts before they are needed.
• Lead legal contracting for colocation, power, datacenter, and network agreements, with focus on operational resilience and continuity terms critical to production uptime.
• Map concentration risk and long-lead dependencies across the infrastructure vendor portfolio, identifying structural vulnerabilities and partnering with Finance on sizing and minimum-commitment terms.
• Collaborate with Security to address datacenter access requirements and regulated-infrastructure compliance within infrastructure agreements.
• Manage the legal dimensions of strategic infrastructure and hardware relationships where counterparties serve multiple roles, ensuring clarity and risk mitigation.
• Apply export and trade-control flow-downs (e.g., end-use/end-user restrictions) to compute and hardware agreements in alignment with AI, Privacy & Governance policy frameworks.
• Build and maintain a library of standardized templates, SLA-credit playbooks, and intake workflows to enable Procurement and Infrastructure teams to self-serve routine transactions at scale.
• Support related transactions involving financing and procurement of compute and capacity, including structuring and documenting complex supply arrangements.
• Assist on partnership and strategic-relationship workstreams tied to Model Labs, Frontier Gateways, and other key infrastructure initiatives.
• Provide legal support for M&A, vendor integration, and one-off strategic transactions, including diligence on inherited infrastructure agreements and ensuring supply continuity post-close.
• Collaborate with the broader legal team on customer and Sales deals, escalating novel contract terms that could create downstream risk to availability, cost, or operational flexibility.
• Translate complex infrastructure concepts into clear risk assessments for Engineering, Infrastructure, and Finance teams, enabling informed commercial decisions.
• Leverage AI tooling and systems to operate efficiently and maintain speed without compromising legal rigor or risk control.
• Contribute to the development of internal legal processes and documentation to support rapid scaling of infrastructure operations.
• Serve as a trusted legal advisor on compute and infrastructure supply chain matters, acting as the primary legal point of contact for Infrastructure and Engineering teams.
• Maintain awareness of evolving regulatory and geopolitical risks impacting global compute procurement and infrastructure sourcing.
• Actively participate in cross-functional planning to align legal strategy with business growth objectives in AI inference infrastructure.
• Represent Baseten in legal discussions with hyperscalers, datacenter operators, hardware vendors, and infrastructure service providers.
• Ensure all infrastructure contracts comply with internal policies and external regulatory obligations, including data localization and export control requirements.
• Identify opportunities to standardize and automate legal workflows to reduce manual effort and improve contract turnaround times.
• Maintain a proactive stance on emerging legal challenges in AI infrastructure, including supply chain resilience, geopolitical constraints, and hardware scarcity.
• Contribute to thought leadership within the company and externally on legal frameworks for AI infrastructure procurement.

🎯 Requirements

• JD and active bar membership in good standing
• 8+ years of technology-transactions experience with meaningful buy-side exposure to compute, cloud, hardware supply chain, datacenter, colocation, or critical-infrastructure contracting
• Fluency in availability and SLA constructs, capacity and route diversity, and how compute, colo, power, and network terms interact
• Experience with high-volume, template-driven vendor contracting and the discipline to keep it fast without losing control of risk
• Strong judgment about when vendor terms create downstream risk for availability, cost, or operational flexibility, and how to direct specialized outside counsel
• Commercially grounded communicator who can translate infrastructure concepts into clear risk calls and partner deeply with Engineering, Infra, and Finance
