- • Provide legal counsel on securities law compliance, including SEC regulations, periodic reporting, insider trading, and Section 16 requirements.
- • Advise on equity and debt offerings, private placements, public offerings, and complex financing transactions.
- • Support corporate governance by advising senior management and the board on governance matters.
- • Structure, negotiate, and draft documentation for syndicated loans, asset-based financing, credit facilities, bonds, and intercompany financings.
- • Assist in M&A transactions with focus on due diligence, negotiation, and execution of securities and financing aspects.
- • Ensure regulatory compliance and manage risk related to global capital markets and financial activities.
- • Collaborate with finance, treasury, tax, and investor relations to support strategic initiatives and financial flexibility.
- • Draft, review, and negotiate legal agreements related to financing, securities, and corporate transactions.
- • Serve as primary legal liaison for investors, underwriters, regulators, and external stakeholders on securities matters.
- • Join a dynamic legal team at a fast-growing healthcare company focused on improving care for older Americans.
🎯 Requirements
- • Juris Doctor (JD) degree from an accredited law school.
- • Active member of the bar in good standing in all jurisdictions where licensed.
- • 5-7 years of legal experience at a top-tier law firm and/or in-house, with focus on securities law and corporate finance.
- • Deep knowledge of U.S. securities laws and regulations, including Securities Act, Exchange Act, Sarbanes-Oxley, Dodd-Frank, GLBA, and SEC reporting.
- • Proven experience advising on sophisticated financing transactions, including debt and equity offerings and complex lending arrangements.
- • Strong drafting and negotiation skills for high-value, complex transactions.
- • Excellent analytical and problem-solving abilities, with capacity to work independently and manage multiple projects in a fast-paced environment.
- • Demonstrated ability to collaborate cross-functionally and influence stakeholders at all levels.
- • Exceptional interpersonal and communication skills to convey legal advice clearly to business leaders and external parties.
