• You will be instrumental in strengthening and scaling the company’s legal function, contributing to the development and implementation of best practices and efficient legal processes. This is an opportunity to make a significant impact on the company's growth and operational integrity.
• The scope of this position is extensive, encompassing commercial contracting, where you will draft, review, and negotiate a wide range of agreements, including SaaS agreements, vendor contracts, and partnership agreements. Your work will directly support our sales and business development teams, enabling them to close deals effectively and protect the company's interests.
• Data privacy will be a key area of focus. You will advise on compliance with global data privacy regulations such as GDPR, CCPA, and other relevant laws, ensuring our data handling practices meet the highest standards. This includes developing and updating privacy policies, conducting data protection impact assessments, and responding to data subject requests.
• Employment law matters will also fall under your purview. You will provide counsel on a variety of employment-related issues, including hiring, terminations, employee relations, wage and hour compliance, and the development of HR policies and procedures. Your guidance will help foster a positive and compliant work environment.
• Regulatory compliance is paramount in the GovTech sector. You will ensure adherence to all applicable federal, state, and local regulations governing government contracting and software provision. This involves staying abreast of evolving legal requirements and implementing necessary controls.
• Corporate governance will be another significant responsibility. You will assist with board matters, corporate record-keeping, and ensuring compliance with corporate law and our company's governing documents. Your contributions will support the company's commitment to transparency and accountability.
• You will manage and advise on dispute resolution, including pre-litigation strategy, settlement negotiations, and overseeing litigation as needed. This requires a pragmatic approach to minimizing risk and achieving favorable outcomes.
• Product counseling will involve working closely with our product and engineering teams to provide legal guidance on new product development, feature releases, and intellectual property protection. You will help ensure our innovative products are legally sound and commercially viable.
• Strategic transactions, such as mergers, acquisitions, and other significant business initiatives, will require your legal expertise. You will be involved in due diligence, deal structuring, and contract negotiation to support the company's growth objectives.
• Legal operations will be an area where you can drive efficiency. You will contribute to the development and management of our legal technology stack, playbooks, and internal processes to optimize the delivery of legal services.

🎯 Requirements

• Juris Doctor (J.D.) degree from an accredited law school.
• Admission to at least one state bar in good standing.
• Minimum of 5-7 years of relevant legal experience, with a strong preference for experience in commercial contracting, data privacy, and/or corporate law, preferably within a technology or SaaS company.
• Experience advising on a broad range of legal matters, including commercial agreements, data privacy regulations (e.g., GDPR, CCPA), employment law, and corporate governance.
• Excellent written and verbal communication skills, with the ability to explain complex legal concepts clearly and concisely to non-legal audiences.
• Strong analytical and problem-solving skills, with a pragmatic and business-oriented approach.
• Ability to work independently, manage multiple priorities, and thrive in a fast-paced, remote work environment.
• Prior in-house legal experience at a technology or SaaS company is a significant plus.
• Familiarity with government contracting regulations and compliance is highly desirable.
