- • Voya Investment Management is seeking a highly skilled and motivated Attorney (AVP, Counsel) to join its sophisticated and dynamic mutual funds legal practice. You will play a crucial role in providing expert legal advice and oversight for Voya's mutual funds, their affiliated service providers, and the funds’ Board of Trustees, operating with a high degree of independence, judgment, and accountability.
- • This role is designed for an individual with a minimum of four years of experience advising on matters arising under the Investment Company Act of 1940 and the Investment Advisers Act of 1940. You will be instrumental in ensuring compliance and facilitating the smooth operation of our investment products.
- • A key responsibility will be analyzing complex issues that arise under federal securities laws, translating them into practical, actionable legal advice for our business partners. Your insights will directly impact strategic decisions and operational efficiency.
- • You will actively participate in the oversight of regulatory disclosures and filings, serving as a liaison with the Securities and Exchange Commission (SEC). This involves ensuring all documentation is accurate, timely, and compliant with evolving regulations.
- • A significant aspect of the role involves providing dedicated legal support for management's engagement with the Board of Trustees. This includes preparing comprehensive board materials, resolutions, and meticulously documenting meeting minutes, ensuring clear communication and adherence to governance standards.
- • You will also assist in the oversight and conduct of Board meetings, ensuring they are conducted efficiently and in compliance with all legal and regulatory requirements. This requires a keen eye for detail and a strong understanding of corporate governance best practices.
- • The role entails preparing, or leading the preparation of, essential governance documents. This includes drafting board memoranda, resolutions, minutes, service provider contracts, and fund charter documents, all of which are critical to the legal framework of our mutual funds.
- • Furthermore, you will support the management's compliance function and related governance activities, contributing to a robust and proactive compliance culture across the organization.
- • This position offers the chance to work remotely, providing flexibility while maintaining a high level of contribution. You will leverage your expertise to safeguard the company's interests and support its mission of empowering individuals and communities towards a better financial future.
- • The ideal candidate will possess strong relationship-management skills, enabling effective collaboration across all levels of the organization. You must be adept at delivering clear, concise, and well-organized legal advice, both verbally and in writing.
- • Your ability to effectively oversee and collaborate with paralegals and other legal professionals will be essential for managing workload and ensuring high-quality output.
- • Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint), Outlook, and remote collaboration platforms such as Teams and Zoom is required to facilitate seamless communication and workflow in a remote environment.
- • We are looking for a reliable, self-directed individual who is detail-oriented and capable of managing multiple priorities and deadlines effectively. Your proactive approach and ability to work independently will be highly valued.
