- • Own finmid’s end-to-end commercial contract stack, including platform partnerships, borrower agreements, and supplier procurement contracts, ensuring consistent, scalable, and legally sound documentation across Europe.
- • Negotiate commercial contracts independently after internalizing company positions, redlining against approved playbooks, and escalating only high-stakes or novel issues for collective decision-making.
- • Embed with product teams to translate product roadmaps into enforceable legal frameworks — designing term sheets, customer T&Cs, and partner schedules that flex with product changes without requiring full contract renegotiation.
- • Build and maintain the operating system for commercial legal at finmid: implement AI-assisted redline workflows, dynamic clause libraries that auto-update with evolving positions, automated T&C propagation across jurisdictions and languages, and version-controlled contract repositories requiring minimal manual oversight.
- • Design and implement contract management infrastructure that reduces reliance on human intervention, ensuring new hires can onboard in days rather than months through clear, machine-readable playbooks and internal knowledge layers.
- • Lead negotiation of third-party vendor contracts — including cloud providers, data processors, and outsourced services — enforcing strict terms on liability, IP ownership, data security, and exit rights while mapping obligations to downstream regulatory requirements.
- • Integrate regulatory compliance directly into commercial contracts, treating DORA, GDPR, sub-processor architecture, EU outsourcing rules, and vendor risk standards as reusable, modular components rather than bespoke clauses.
- • Select, test, and integrate AI tooling (e.g., Claude, Noxtua, Legora) into daily contracting workflows, running experiments to identify tools that compound throughput and eliminating those that introduce friction or risk.
- • Identify and eliminate high-time-cost manual processes — such as redline triage, translation management, or T&C version propagation — replacing them with automated, self-running systems within the first three months.
- • Map the full contract surface area across products and jurisdictions to pinpoint inconsistencies, overlaps, and hidden inefficiencies that limit scalability.
- • Develop the first version of a clear, machine-friendly playbook for top recurring contract positions, ensuring it is usable by non-lawyers and actionable for product and commercial teams.
- • Achieve fluency in the AI tools under evaluation by the team, adopting them as core components of daily work rather than keeping them in assessment mode.
- • Deliver a 12-month strategic vision for the commercial legal function, including sequencing of infrastructure upgrades, tooling adoption, and scaling priorities aligned with revenue growth.
- • Collaborate closely with General Counsel, Head of Commercial, and cross-functional product and engineering leads, acting as the legal interface for product development and commercial partnerships.
- • Maintain high-quality outputs with precision in drafting, unambiguous language, and implementation-ready clarity, ensuring contracts are readable, enforceable, and adopted across teams.
- • Operate with autonomy in a fast-moving environment where established playbooks do not yet exist, embracing ambiguity as an opportunity to build systems from scratch.
- • Work cross-functionally in engineering and product environments, participating in Linear tickets, design reviews, and roadmap sessions without requiring translation of legal concepts into non-legal terms.
- • Uphold legal precision while remaining commercially pragmatic, distinguishing between non-negotiable positions and those that are better resolved as trade-offs to move deals forward.
🎯 Requirements
- • Graduate of a top-tier EU, UK, or US law school, qualified or qualifying in a relevant jurisdiction
- • At least one year of experience in Big Law or in-house at a technology company, fintech, SaaS business, or financial institution
- • Direct exposure to commercial contract drafting and negotiation, with ability to hold ground on substance in redline discussions
- • Experience working on regulated financial products or settings where commercial contracting coexists with supervisory expectations
- • Ability to think in systems and algorithms, decomposing contracting processes into decision trees and checkpoints usable by product and engineering teams
- • Practical curiosity about AI tooling and willingness to test and integrate tools like Claude, Noxtua, or Legora into daily workflows
