• In this high-impact, remote role, you will be instrumental in shaping the future of a rapidly growing technology company. You will take the lead on critical corporate legal functions, providing strategic advice and driving key initiatives across governance, financings, securities compliance, and complex strategic transactions. • You will advise on a broad spectrum of corporate legal matters, ensuring robust corporate governance practices are maintained. This includes advising the board of directors and stockholders on their respective matters, and overseeing the management of our various subsidiaries to ensure compliance and operational efficiency.
• A significant part of your role will involve supporting our M&A activities and other strategic transactions. You will be involved from the initial stages of deal structuring, through comprehensive due diligence, to the negotiation of terms and the complexities of post-closing integration, ensuring seamless execution and alignment with business objectives.
• You will partner closely with our Human Resources and Finance teams to develop and support our equity compensation strategy and its administration. This includes providing legal guidance on the design, implementation, and ongoing management of our equity plans and individual grants, ensuring compliance and alignment with our growth trajectory.
• Collaboration extends to advising HR and Finance on a range of employment, compensation, and benefits matters, ensuring our policies and practices are legally sound and support our employee-centric culture.
• You will play a key role in managing and supporting both equity and debt financings. This involves navigating the intricacies of due diligence processes, negotiating definitive agreements, and ensuring the successful execution of these critical financial transactions.
• Providing expert legal guidance on investor relations and securities law matters is paramount. You will ensure our compliance with all relevant regulations, manage disclosures, and support our interactions with the investment community.
• You will proactively support risk management initiatives across the business, including advising on insurance strategies and ensuring adherence to regulatory compliance requirements, thereby safeguarding the company's interests.
• A crucial aspect of this role is identifying opportunities for process improvement within the legal function. You will be empowered to help build and implement scalable legal processes and policies that are not only compliant but also strategically aligned with our ambitious business goals, contributing to operational excellence.

🎯 Requirements

• J.D. degree and admission to practice law in at least one U.S. state.
• 3-6+ years of relevant legal experience, either at a law firm advising high-growth technology companies or in-house at a technology company.
• Proven experience in corporate governance, M&A, equity and debt financings, and securities law compliance.
• Deep understanding of equity compensation structures and related legal considerations.
• Exceptional communication, interpersonal, and influencing skills, with a demonstrated ability to collaborate effectively with diverse stakeholders.
• Pragmatic, solution-oriented mindset with strong business acumen and risk assessment capabilities.
• Ability to work independently in a fast-paced, dynamic environment with a high degree of ownership and accountability.
