  • • Own end-to-end equity administration including option grants, RSU plans, secondary transactions, employee liquidity programs, and 409A valuation coordination as the sole point of accountability for all equity-related inquiries from employees and investors.
  • • Lead legal workstreams for venture financings (priced rounds, SAFEs, convertible notes), strategic investments, and early-stage M&A or acqui-hire transactions, coordinating with external counsel while owning timelines, deliverables, and closing execution.
  • • Maintain corporate governance hygiene across all entities: draft and manage board and stockholder consents, ensure timely state and cross-border filings, oversee subsidiary structuring, and uphold compliance standards to remain investor-ready at all times.
  • • Serve as the connective tissue between Commercial and Product counsel teams, handling matters that fall between domains such as equity-linked commercial arrangements, co-branded partnership structures, employee IP assignments, and cross-border corporate restructurings.
  • • Build and automate routine corporate legal workflows using AI tools and LLMs to create self-service templates for option grants, consents, and entity management trackers, enabling legal team scalability without linear headcount growth.
  • • Design and maintain a data room-ready corporate infrastructure at all times, ensuring governance documentation, cap table accuracy, and compliance records are prepared for imminent fundraises, dual-listings, or acquisitions.
  • • Draft and negotiate term sheets, stockholder agreements, and voting agreements with deep operational fluency in dilution mechanics, liquidation preferences, anti-dilution provisions, and pro-rata rights.
  • • Manage cap table integrity with precision—understanding the operational and financial consequences of errors—and ensure accurate, up-to-date records that support fundraising, investor reporting, and employee equity clarity.
  • • Exercise pragmatic risk tolerance by making clear, defensible legal recommendations with incomplete information, knowing when to escalate versus when to decide autonomously in fast-moving situations.
  • • Adopt a gap-filler mentality to independently own ambiguous or unassigned legal matters, particularly those involving employment equity, VC-backed strategic partnerships, or jurisdictional complexities across the US, EU, and other markets.
  • • Drive automation-first solutions: build templates, playbooks, and AI-assisted workflows for repetitive legal tasks to eliminate manual repetition and increase efficiency across the legal function.
  • • Shape the future growth of Lovable’s legal function by establishing scalable systems, processes, and standards that support rapid scaling across multiple jurisdictions and corporate structures.

🎯 Requirements

  • • 4–8 years of legal experience with a blend of top-tier law firm (corporate/securities) and in-house experience at a high-growth technology company (Series B–D preferred)
  • • Hands-on experience managing equity documentation, cap tables, and at least one full fundraise cycle
  • • Proven ability to independently own and close venture financings, strategic investments, and early-stage M&A transactions without supervision
  • • Demonstrated fluency in corporate governance: board consents, 409A valuations, option pool management, state filings, and subsidiary structuring
  • • Strong automation mindset with experience using AI tools or LLMs to streamline legal workflows
  • • Pragmatic risk tolerance and bias for action—comfortable making decisions with 70% of the information and closing deals rapidly via Slack or similar channels
