- • As a Senior Manager, Corporate Counsel at CDW Corporation, you will be a pivotal legal strategist, serving as a recognized subject matter expert in commercial contract matters. Your primary responsibility will be to provide high-quality, proactive, and cost-effective legal counsel and guidance across all facets of the corporation's day-to-day business operations, with a significant emphasis on technology-related transactions.
- • You will take the lead in managing and negotiating complex deals, contracts, and agreements. This includes a primary focus on technology-related transactions, ensuring that CDW's interests are protected and that agreements are structured to support business objectives.
- • Your drafting, review, and revision skills will be crucial for a wide array of commercial agreements. This encompasses contracts with Original Equipment Manufacturers (OEMs), distribution partners, and services partners for IT products and services. You will be instrumental in shaping agreements for cloud and consumption-based services, licensing agreements, master services agreements, and confidentiality agreements, ensuring clarity, compliance, and risk mitigation.
- • A key aspect of your role will involve close collaboration with internal teams, various business units, and external partners. Your ability to align legal and business objectives while effectively mitigating risk will be paramount to successful outcomes.
- • You will provide essential legal guidance and support to internal stakeholders on a diverse range of legal matters. This includes ensuring that stakeholders are fully aware of potential legal implications in their decision-making processes, and actively assisting, advising, investigating, researching, and resolving legal matters in strict adherence to corporate legal policies.
- • Conducting thorough due diligence on proposed transactions will be a core responsibility. You will be tasked with identifying and proactively addressing legal risks and compliance issues, ensuring that CDW enters into agreements with a clear understanding of potential liabilities and obligations.
- • Staying abreast of the latest developments in relevant laws and regulations within the dynamic technology sector is critical. You will ensure the company's ongoing compliance with all legal requirements, adapting strategies as the legal landscape evolves.
- • You will play a key role in developing and implementing process improvements and strategic initiatives aimed at managing and minimizing legal risk associated with transactions and broader business operations. This includes identifying opportunities for greater efficiency and effectiveness in the legal function.
- • Assisting clients in resolving potential disputes will be an important function, with a strong focus on minimizing the need for legal escalation and seeking practical, business-oriented solutions.
- • You will be expected to develop and maintain expertise in diverse areas of law relevant to CDW's business, as well as related topics and emerging trends. You will then educate both internal and external stakeholders on these topics and trends, fostering a greater understanding of legal considerations.
- • Effectively retaining and managing outside counsel and other external resources will be a key performance indicator, ensuring that these relationships are managed within budget and deliver optimal value.
- • You will provide expert legal counsel on a wide spectrum of contract matters that impact the company's day-to-day business operations. This involves assisting, advising, investigating, researching, and resolving legal matters in alignment with established corporate legal policies.
- • You will contribute to the development of standardized legal documents for both customers and partners, streamlining processes and ensuring consistency.
- • Your responsibilities will include reviewing, drafting, and negotiating various U.S. and international corporate contracts. This includes, but is not limited to, master services agreements, subcontractor agreements, non-disclosure agreements, marketing agreements, distributor agreements, reseller agreements, purchasing agreements, consulting agreements, and event agreements.
- • You will provide support on matters related to patent, trademark, and other intellectual property (IP) issues, safeguarding CDW's intellectual assets.
- • You will proactively stay current with commercial issues pertinent to specific projects and address them as they arise, ensuring that legal considerations are integrated into project lifecycles.
- • This role offers a competitive salary range of $172,000 - $240,000, dependent on experience and skill set, along with an annual bonus target of 15% subject to plan terms.
