📋 Description

• • Own and drive the full corporate legal lifecycle for a fast-growing, mission-driven sustainability tech leader. You will act as the primary point of contact for all corporate housekeeping, entity management, and governance matters across Clarity AI’s global footprint (US, UK, Spain, France, UAE), ensuring every subsidiary, board, and shareholder resolution is executed flawlessly and on time.
• • Draft, review, and negotiate a high volume of corporate documents—charters, bylaws, board and shareholder consents, stock-option plans, cap-table updates, SAFEs, subscription agreements, and investor-side NDAs—while maintaining meticulous version control and audit trails in our cloud-based data room.
• • Partner hand-in-hand with the Head of Legal and VP Finance to prepare for future funding rounds, M&A activity, and strategic partnerships. You will model pro-forma cap tables, run diligence checklists, and coordinate with outside counsel to ensure every certificate, opinion, and regulatory filing is ready when investors or acquirers knock.
• • Manage global statutory filings, notarizations, apostilles, and legalizations across multiple jurisdictions, owning relationships with notaries, registries, and registered agents to keep every entity in good standing and compliant with local corporate, tax, and labor laws.
• • Build and maintain a best-in-class corporate governance framework: create board-meeting cadences, minute templates, and policy libraries that scale with a 300-person, five-office company and satisfy the scrutiny of tier-1 investors like BlackRock and SoftBank.
• • Serve as the internal expert on equity administration. You will administer our equity-management platform (Carta or equivalent), process option grants, exercises, and transfers, and ensure 409A valuations, Rule 701 analyses, and securities-law exemptions are always current.
• • Lead insurance program oversight—D&O, E&O, cyber, EPL, and global package policies—working with brokers to benchmark coverage, negotiate renewals, and file claims so that the business is protected as it scales.
• • Collaborate cross-functionally with Finance, People, Product, and Security teams to embed legal risk management into daily operations, from new-market entry to product launches, ensuring corporate structure and insurance coverage evolve in lockstep with business needs.
• • Continuously improve legal operations: automate signature workflows, e-filing, and entity charts; create self-service playbooks for the Finance and People teams; and track KPIs that demonstrate the Legal team’s velocity and value to the organization.
• • Champion Clarity AI’s culture—fact-based, diverse, transparent, meritocratic, and flexible—by mentoring junior legal contractors, contributing to DEI initiatives, and presenting at our monthly All-Hands on how corporate governance powers sustainable impact.
