📋 Description

• As Alan's senior Corporate Legal Counsel, you will own the legal structuring and regulatory pathway for strategic launches, including new business lines and international expansion, working closely with product and business teams to ensure legally sound and business-enabling setups.
• You will shepherd M&A transactions from LOI to closing, independently structuring deals, drafting and negotiating LOIs and SPAs, running legal due diligence, resolving deal-breaking issues, and delivering closed transactions.
• You will solve multi-jurisdictional equity challenges, designing compliant equity programs across countries, and own corporate governance legal operations by drafting Board resolutions, managing share transfers and capital transactions, and strengthening Alan’s governance structure.
• You will build internal legal frameworks, templates, and decision-making guidelines to increase legal autonomy, manage external counsel budgets and quality, and partner with Finance on complex international tax and product structure matters.
• You will work within the Corporate Governance Area led by Anne-Lise Delfanne, collaborating with strategists to drive holistic governance outcomes and support teammates in understanding legal and regulatory contexts for transversal projects.
• Your role will evolve beyond its initial scope, empowering you to tackle new challenges across product bets, compliance, and public affairs, building a unique path that impacts the future of healthcare.

🎯 Requirements

• 5 to 10 years of Corporate, M&A and/or tax law practice in an international environment, with drafting experience in English and at least 3 years at a top international law firm.
• Strong expertise in at least one of Alan’s core corporate practice areas, with appetite to build transversal skills across the full Corporate Governance scope.
• Mastery of legal writing in both French and English.
• Innovative problem-solving mindset with creativity, willingness to take risks, and passion for defining innovative corporate law solutions aligned with Alan’s goals.
• Intellectual curiosity, rigor and pragmatism, business-minded thinking, and a missionary mindset focused on impact over title.
