📋 Description

• The Corporate Paralegal role at Fivetran is critical to supporting the company’s rapid growth by ensuring robust corporate governance, transactional support, and scalable legal operations across global subsidiaries. This position directly enables Fivetran’s mission to make data access as simple and reliable as electricity by maintaining the legal and operational foundation that allows the business to scale securely and compliantly.
• Reporting to the Associate General Counsel (Corporate), the Corporate Paralegal will serve as a trusted advisor and operational backbone for the Legal team, driving process improvements, managing high-stakes corporate transactions, and ensuring meticulous compliance across jurisdictions—making this role indispensable to Fivetran’s continued success as a $5.6B-valued leader in the modern data stack.
• Day-to-day responsibilities include supporting routine and complex corporate governance across all subsidiaries, such as maintaining entity records, managing board materials and minute books, and assisting with regulatory filings; providing project management and due diligence support for M&A, financing rounds, and strategic transactions; collaborating with HR, Tax, Finance, Treasury, Accounting, and Legal teams on subsidiary formation/dissolution and cross-functional initiatives; partnering with outside counsel on corporate matters; managing the corporate insurance portfolio; handling execution logistics including signature collection, notarization, and apostille; managing due diligence and KYC requests from third parties; assisting the Senior Equity Administrator with equity program support using Carta and Equity Edge; processing administrative tasks like international mail, invoice processing, and procurement via Coupa; and continuously identifying, building, and maintaining scalable corporate operations processes with strong documentation and audit trails.

• In this role, the Corporate Paralegal will develop deep expertise in scaling corporate legal operations within a top-tier SaaS company, gain hands-on experience with complex transactions and global entity management, and become a key contributor to building resilient, audit-ready legal infrastructure. The position offers significant opportunity to influence process design, lead cross-functional initiatives, and grow into a strategic legal operations leader within a company that invests heavily in employee development and innovation.

🎯 Requirements

• Undergraduate degree from a 4-year accredited institution
• 10+ years of experience as a corporate paralegal and/or legal operations professional at a technology company or law firm
• Proven track record of scaling corporate operations processes such as signing authority frameworks, approval workflows, and record management systems
• Substantial experience supporting IPO, M&A transactions, and financing rounds with demonstrated end-to-end transaction management
• Strong working knowledge of corporate governance, subsidiary management, SEC compliance, entity compliance (U.S. and international), KYC/UBO, regulatory filings, corporate record keeping, and secretary’s office functions
• Exceptional drafting, organizational, and communication skills
• Experience managing multiple complex projects simultaneously
