- • As Senior Commercial Counsel at Semperis, you will play a critical role in accelerating the company’s go-to-market motion by managing high-volume, sophisticated SaaS and vendor deals, leading complex partnerships, and advising cross-functional teams on commercial strategy and legal risk. Your work will directly support business velocity while ensuring compliance and mitigating risk in a fast-growing cybersecurity leader.
- • Day to day, you will draft, review, and negotiate enterprise agreements including MSAs, DPAs, SLAs, SOWs, channel/reseller/MSP/OEM contracts, and licensing; lead multi-threaded negotiations with enterprise customers and partners; advise sales, product, security, finance, and procurement teams; improve contract templates and playbooks; design AI-enabled workflows for contract lifecycle management; collaborate with the Dublin-based Senior Commercial Counsel and Contract Manager; manage outside counsel; and support M&A activities as needed.

- • In this role, you will deepen your expertise in enterprise SaaS contracting, AI-enabled legal operations, and global data privacy regulations (GDPR, CCPA/CPRA), while driving process innovation, improving deal velocity, and gaining leadership experience in a high-impact, scaling legal function with real scope for professional growth.
🎯 Requirements
- • JD (or equivalent) and bar admission in good standing
- • 7+ years of experience with significant in-house time negotiating complex B2B SaaS/technology transactions at a growth-stage or enterprise software company; cybersecurity experience preferred
- • Expertise in enterprise contracting mechanics including privacy (GDPR, CCPA/CPRA), information security terms (SOC 2/ISO-aligned), SLAs/credits, IP, indemnities, limitations, and renewals/termination
- • Demonstrated success driving high-volume deal flow with sharp risk judgment and clear internal communication
- • Experience improving contract templates, fallback positions, and negotiation playbooks; ability to enable non-lawyers to move faster with smart guardrails
- • Hands-on experience with channel partner agreements and partner program constructs
- • Practical familiarity with AI-enabled contracting workflows or legal ops automation, including change management and responsible use guardrails
- • Strong cross-functional collaboration and executive-ready communication; calm under pressure, excellent prioritization, and bias for action
