  • • As Director, Corporate Legal at Airwallex, you will serve as the senior transactions lead for global corporate legal matters, playing a critical role in shaping the company’s capital structure, governance, and global expansion through high-impact transactions such as private financings, M&A, and secondary sales.
  • • You will lead end-to-end legal execution of complex domestic and cross-border transactions, including drafting and negotiating term sheets and definitive agreements, managing due diligence, coordinating with external counsel, and ensuring regulatory and licensing compliance across jurisdictions.
  • • You will partner closely with the CEO’s Office, Corporate Development, Finance, Tax, Regulatory Legal, and other LRC teams to design and execute transactions that support Airwallex’s growth trajectory while maintaining rigorous risk and governance standards.
  • • You will build scalable legal processes, playbooks, and templates leveraging LegalTech and AI tools to increase transaction speed, consistency, and capacity, while mentoring and directing external counsel to uphold quality and commercial alignment.

🎯 Requirements

  • • U.S. legal qualification (or foreign equivalent) and active license to practice in at least one U.S. jurisdiction
  • • 10+ years of experience in an in-house legal department and/or private practice advising on private company financing and M&A, with a strong track record running transactions end-to-end
  • • Significant experience drafting and negotiating core transaction documentation for equity financings, M&A, joint ventures, and secondary sales
  • • Strong working knowledge of U.S. corporate and securities law as applied to private companies, particularly in fundraising, secondary transactions, and corporate governance
  • • Demonstrated ability to work directly with senior executives, investors, and cross-functional stakeholders, providing clear, commercially grounded, risk-balanced advice in fast-moving environments
