- • As the Director of Global Tax at D2L Corporation, you will be the principal architect and steward of our worldwide tax strategy, ensuring its alignment with our ambitious growth objectives and operational scalability. This pivotal role demands strategic foresight, robust governance, and flawless execution across all facets of D2L's global tax operations. You will be instrumental in shaping D2L's long-term tax vision, overseeing meticulous global tax compliance and reporting, establishing and maintaining rigorous internal tax controls, and providing indispensable, executive-level tax guidance that directly supports D2L's strategic business imperatives and its expanding international footprint.
- • You will lead and empower the tax organization, driving operational excellence across a comprehensive spectrum of tax-related processes. This includes, but is not limited to, ensuring timely and accurate compliance, proactive tax planning, strategic transfer pricing management, effective audit defense, precise tax accounting under IFRS, astute M&A tax integration, and navigating the complexities of cross-border business activities. A key aspect of your role will be fostering deep, collaborative partnerships with critical departments such as Finance, Legal, Product, and Sales, as well as engaging effectively with external tax advisors. Your objective will be to minimize tax-related risks, preserve enterprise value, and strategically optimize D2L’s overall global tax position.
- • **Strategic Ownership & Tax Leadership:**
- • Define and implement D2L’s overarching global tax strategy, ensuring it underpins and enables long-term growth, enhances operational scalability, and effectively mitigates tax risks.
- • Develop, implement, and continuously refine a comprehensive tax risk management framework and a robust governance structure to ensure compliance and control across all jurisdictions.
- • Critically evaluate and provide expert advice on international expansion opportunities. This involves assessing permanent establishment risks, understanding local tax exposures, and recommending optimal go-to-market models that align with D2L’s desired international presence and risk appetite.
- • Serve as a trusted advisor to the CFO, VP Finance, Legal counsel, and Sales leadership, providing clear and actionable insights into the tax implications of corporate strategy, global expansion initiatives, entity structuring, and other significant strategic decisions.
- • **Global Tax Compliance & Reporting:**
- • Take ownership of the timely, accurate, and complete execution of all global tax filings, encompassing corporate income tax, indirect taxes (VAT/GST), cross-border withholding taxes, and any other statutory tax obligations.
- • Lead the preparation and finalization of quarterly and annual tax provisions in strict accordance with IFRS, ensuring the highest standards of completeness, accuracy, and robust supporting documentation.
- • Act as the primary senior point of contact and liaison for external auditors on all tax-related matters, managing inquiries and facilitating efficient audit processes.
- • **Transfer Pricing & Tax Planning:**
- • Spearhead the development and implementation of D2L’s global transfer pricing strategy, ensuring comprehensive documentation and adherence to regulatory requirements.
- • Evaluate and structure intercompany agreements and transactions to ensure full alignment with OECD guidelines and relevant local country regulations, minimizing transfer pricing risks.
- • Proactively identify and analyze tax planning opportunities that can effectively optimize D2L’s global effective tax rate and improve its cash tax position, driving financial efficiency.
- • **Tax Risk & Audit Management:**
- • Oversee all global tax audits, manage tax authority inquiries, and direct interactions with tax authorities across various jurisdictions.
- • Develop sophisticated audit defense strategies and implement effective risk mitigation approaches for complex and challenging tax matters.
- • **Cross-Functional Partnership:**
- • Provide critical tax support to Sales, Legal, and Deal Desk teams for large, strategic customer contracts and complex global deal structures, ensuring tax efficiency and compliance.
- • Collaborate closely with the Product and Finance teams to address tax considerations related to new product development, innovative billing models, and emerging revenue streams.
- • Partner with People & Culture (PnC) to advise on tax implications related to global mobility programs and employee incentive plans.
- • Lead the tax function's support for Mergers & Acquisitions (M&A) and corporate development initiatives. This includes conducting thorough tax due diligence, evaluating optimal acquisition structures, identifying key tax risks and opportunities, and overseeing tax integration activities post-acquisition.
- • **People Leadership & Team Development:**
- • Lead, mentor, and develop the global tax team, including direct reports and external consultants, fostering a high-performance culture.
- • Establish and execute comprehensive talent development plans, implement succession planning strategies, and build the overall capability of the tax function.
- • Cultivate an environment of continuous improvement, operational excellence, and proactive problem-solving within the tax team.
- • **Tax Controls & Technology:**
- • Oversee the design, implementation, and maintenance of tax-related internal controls, ensuring alignment with established internal control frameworks and external reporting requirements.
- • Drive the adoption and effective utilization of tax technology and process automation initiatives to enhance accuracy, efficiency, and data integrity within the tax function.
