  • • As a Lead Counsel, Strategic & Commercial Transactions at The Allstate Corporation, you will play a pivotal role within the Law and Regulation department, specifically supporting the dynamic Strategic & Commercial Transactions (SCT) team.
  • • This position is ideal for a driven and motivated attorney seeking to cultivate a robust foundation in transactional law, working collaboratively with seasoned in-house counsel and key business stakeholders across the enterprise.
  • • The SCT team is instrumental in providing comprehensive legal and regulatory guidance and support for a wide array of strategic and commercial agreements and relationships.
  • • Your responsibilities will encompass the negotiation, execution, and ongoing administration of diverse transactions, including but not limited to corporate mergers, acquisitions, and dispositions, venture capital investments, and the formation of strategic partnerships.
  • • You will also provide legal counsel for real estate leasing arrangements, complex intercompany agreements, and matters related to the Allstate Foundation's non-profit initiatives.
  • • Furthermore, the role involves managing and advising on vendor transactions, such as critical marketing and sponsorship agreements, professional service contracts, and technology agreements covering a broad spectrum of goods and services.
  • • A key aspect of this role involves delivering real-time, business-focused commercial legal advice on a variety of contracts. This includes drafting, reviewing, and negotiating non-disclosure agreements (NDAs), marketing agreements, Software as a Service (SaaS) and other technology-related agreements, commercial real estate leases, and contract amendments.
  • • You will be tasked with proactively identifying potential legal issues and risks, particularly concerning data privacy, intellectual property rights, and compliance with relevant regulations.
  • • Effective collaboration is paramount; you will work closely with cross-functional teams including Finance, Facilities, Risk and Compliance, Privacy, Information Technology (IT), Human Resources (HR), and other members of the Legal department to effectively identify and resolve complex issues, foster strong working partnerships, and ensure the successful completion of commercial transactions.
  • • Anticipating legal concerns before they arise and developing creative, practical solutions within a fast-paced and evolving business environment will be a critical function of this role.
  • • You will contribute significantly to the enhancement of legal operations by developing and refining standard contract templates, creating comprehensive playbooks, and implementing process improvements to streamline contract review and negotiation workflows, thereby increasing efficiency and consistency across the department.
