  • • **Drive Legal Excellence in Commercial Contracting:** We are seeking a proactive and hands-on Legal Counsel with a strong focus on commercial contracting to join our growing team. This role is pivotal in establishing and continuously improving our contracting function, enabling our business teams to operate efficiently and with confidence. You will be instrumental in supporting commercial deals, streamlining negotiations, and developing scalable, repeatable processes that keep pace with TheyDo's global expansion.
  • • **Master Commercial Contracting and Negotiation:** You will be responsible for drafting, meticulously reviewing, and expertly negotiating a wide array of customer and partner agreements. This includes Master Service Agreements (MSAs), Data Processing Agreements (DPAs), Non-Disclosure Agreements (NDAs), order forms, and all associated commercial terms. Your role will involve actively supporting commercial negotiations by providing clear advice on risk, proposing pragmatic and effective alternatives, and ultimately helping to close deals efficiently. A key aspect of this role is maintaining and enhancing our existing contract templates, playbooks, and fallback positions to ensure consistency and efficiency as we scale our contracting operations. You will also be tasked with identifying recurring contract issues and proactively developing strategies to standardize and simplify our contracting processes.
  • • **Own Legal Operations and Process Management:** Take ownership of the day-to-day execution of our internal contracting process, from initial intake and routing for approvals to diligent tracking and accurate record-keeping. You will be the custodian of our contract registry, ensuring all contracts are stored, tracked, and managed with the utmost accuracy and consistency. Furthermore, you will coordinate effectively with external counsel for specialized legal matters, such as jurisdiction-specific issues, ensuring seamless collaboration and the delivery of high-quality legal outcomes.
  • • **Foster Cross-Functional Partnerships:** Collaborate closely with key internal teams, including Sales, Finance, Compliance, and Product, to support business objectives while diligently managing legal risks. You will operate within our modern tool stack, leveraging platforms like Slack, Google Workspace, Salesforce, and Gong to facilitate commercial deal cycles and maintain alignment among stakeholders. A significant part of your role will involve delivering regular enablement sessions and practical training to our Go-To-Market (GTM) teams (Sales, Customer Success, Partnerships) on contracting best practices, common negotiation points, and the effective utilization of templates and playbooks.
  • • **Champion Continuous Improvement and AI-Enabled Efficiency:** Actively utilize AI tools and workflow automation to minimize repetitive tasks and significantly improve turnaround times. This includes leveraging AI for drafting assistance, clause comparison, summarizing contract changes, and generating playbooks and guidance documents. You will be instrumental in identifying bottlenecks within the contracting process and implementing targeted improvements through clearer templates, enhanced playbooks, and streamlined workflows. A key attribute for this role is the ability to quickly learn and adopt new tools to support efficient and scalable legal operations, always maintaining a focus on quality, confidentiality, and sound judgment.
  • • **Maintain Regulatory Awareness:** Stay abreast of key regulations pertinent to a global SaaS business, including privacy and data protection laws, evolving commercial contracting norms, and general compliance requirements. You will be responsible for flagging emerging risks early and coordinating with internal stakeholders or external advisors to address them proactively, ensuring TheyDo remains compliant and protected.
