• To support our ambitious expansion, SPAN is seeking a highly motivated and experienced Legal Counsel. This role is pivotal in providing strategic and tactical legal advice across a wide spectrum of issues that impact our core business functions, including sales, engineering, manufacturing, supply chain, and customer support. You will be an integral part of a small, agile legal team, acting as a strong transactional attorney eager to broaden your expertise in an entrepreneurial, hands-on environment.
• The ideal candidate is a versatile legal professional, comfortable advising on complex negotiation strategies while also contributing to the essential administrative tasks that ensure the efficient operation of the legal department. You are a true 'utility infielder' or 'Swiss Army knife,' capable of handling diverse legal challenges rather than specializing in a single area. Your passion for electrification and working alongside mission-driven colleagues will be essential, as will your comfort in navigating new and unfamiliar legal territories.

• Key responsibilities will include drafting, reviewing, and negotiating a variety of commercial agreements, such as customer contracts, supplier agreements, partnership agreements, and licensing arrangements. You will advise on sales transactions, ensuring compliance with relevant laws and regulations, and support the product development lifecycle from a legal perspective, including intellectual property considerations.
• Furthermore, you will play a crucial role in managing and mitigating legal risks across the organization. This involves staying abreast of relevant legal and regulatory developments impacting the energy and technology sectors, and proactively advising the business on compliance matters. You will also assist in developing and implementing legal policies and procedures to support SPAN's growth and operational efficiency.
• Collaboration is key in this role. You will build and maintain strong working relationships with internal stakeholders at all levels, acting as a trusted advisor and business partner. Your ability to communicate complex legal concepts clearly and concisely to non-legal audiences will be essential for success.
• The Legal Counsel will also be involved in corporate governance matters, assisting with board minutes, resolutions, and other corporate filings as needed. You will support the General Counsel in managing outside counsel and ensuring cost-effective legal services.

🎯 Requirements

• Juris Doctor (J.D.) degree from an accredited law school and admission to the California Bar in good standing.
• A minimum of 5 years of legal experience as a practicing attorney, with at least 3 of those years spent in a U.S. law firm environment.
• Demonstrated significant experience in reviewing, negotiating, and executing a wide array of commercial agreements.
• Proven track record of building strong relationships and successfully collaborating with diverse teams across an organization.
• Excellent verbal and written communication skills, with the ability to articulate complex legal issues clearly and concisely.
• Self-starter mentality with a proven ability to achieve results independently and manage multiple priorities in a fast-paced setting.
