- • Serve as the primary legal point of contact on IP licensing and complex technology transactions, advising on deal structure, IP strategy, and risk mitigation for inbound and outbound agreements.
- • Structure and negotiate IP ownership, licensing, and rights allocation in multi-party arrangements including joint development, OEM/reseller, government-prime/sub, and platform integration deals.
- • Draft, review, and negotiate a wide range of technology and IP agreements such as technology licenses, software/SaaS agreements, data licenses, master collaboration and co-development agreements, joint development agreements, OEM and reseller agreements, strategic alliance and teaming agreements, evaluation and proof-of-concept agreements, MNDAs, and the IP/technology components of M&A and joint venture transactions.
- • Advise on unique IP and data issues related to AI, machine learning, autonomy, and computer vision systems, including training data rights, model and weights licensing, foundation-model usage, output ownership, and the interplay between commercial IP terms and U.S. government data rights.
- • Develop and own scalable processes, templates, and playbooks to standardize and streamline IP and technology transaction workflows across the organization.
- • Partner closely with Corporate Development, Corporate Legal, Engineering, and Product teams to deliver coordinated legal advice on deals spanning commercial, regulatory, and national-security considerations.
- • Provide clear, pragmatic, and business-focused risk analyses and recommendations to executive leadership in a fast-paced, high-volume environment.
- • Translate complex technical and IP concepts into actionable guidance for non-legal stakeholders, including engineers and product managers.
- • Maintain active engagement with legal research platforms, contract lifecycle management systems, and collaboration/project management software to optimize legal workflows and efficiency.
- • Report to the Corporate/M&A Lead while coordinating with colleagues in IP, Privacy, Export Control, and Government Contracts teams; this role is distinct from the Intellectual Property Legal Team responsible for Anduril’s IP portfolio.
- • Travel at least 25% of the time to support deal execution, client meetings, and internal collaboration.
- • Work full-time in Anduril’s Costa Mesa, California office; remote or hybrid arrangements are not available due to the need for in-person collaboration.
🎯 Requirements
- • JD from a top-tier accredited law school
- • 6+ years of experience practicing IP licensing and technology transactions at a top law firm and/or in-house at a technology company, with substantial direct experience drafting and negotiating complex IP/tech agreements
- • Active membership in good standing with the bar in at least one U.S. state, with the ability to become authorized to practice in California (e.g., through California Bar membership or California Registered In-House Counsel status)
- • Demonstrated expertise in IP ownership and rights allocation, open source software issues, and IP/data terms in complex strategic transactions
- • Proven ability to thrive in a high-volume, rapidly evolving environment, expertly managing a substantial portfolio of diverse projects with urgency and precision
- • Exceptional negotiation, drafting, and verbal communication skills with meticulous attention to detail
