📋 Description

• Review and analyze standard legal agreements including NDAs, DPAs, customer subscription orders, terms of service, vendor agreements, and security addendums to ensure alignment with company templates and policies.
• Identify legal or business risks in contract language and escalate novel, complex, or high-risk provisions to external counsel with clear summaries of risks, recommendations, and proposed actions.
• Coordinate directly with external legal counsel on complex matters, translating legal guidance into actionable business recommendations for Sales, Security, and Operations teams.
• Build and maintain scalable legal operations infrastructure including contract tracking systems, intake workflows, document organization, and approval processes from scratch.
• Organize and centralize all legal documents—contracts, templates, accepted language, deviations, obligations, renewals, and approvals—to ensure easy access and consistency across teams.
• Create, update, and maintain contract templates, clause libraries, fallback language, and internal playbooks to reduce repetitive review and accelerate contract turnaround.
• Improve legal workflow efficiency by integrating and optimizing tools such as Google Drive, PandaDoc, HubSpot, and Notion for contract management and collaboration.
• Support vendor agreement reviews for new software and service purchases, ensuring compliance with security, privacy, and insurance requirements.
• Educate cross-functional teams on when legal review is required and how to properly route requests through established intake and approval workflows.
• Collaborate closely with Go-To-Market, Business Operations, Security, and leadership to ensure legal processes enable faster decision-making without increasing risk.
• Maintain consistency in contract language and legal posture across all customer and vendor agreements while adapting to evolving business needs.
• Proactively identify bottlenecks in legal workflows and design systemic solutions to reduce manual effort and improve scalability as the company grows.
• Serve as the primary point of contact for internal teams seeking legal support, ensuring timely, clear, and practical responses to contract-related inquiries.
• Document all legal processes, decisions, and deviations to create a transparent, auditable, and repeatable legal operations function.
• Support compliance-related contract requirements tied to SOC 2, GDPR, CCPA, and other privacy or security frameworks as they arise in vendor or customer agreements.
• Balance speed and risk mitigation by knowing when to apply standard language versus when to escalate for legal review, ensuring business momentum is not hindered.

🎯 Requirements

• Experience as a paralegal, legal operations professional, contract manager, legal counsel, or similar legal support role, ideally in a SaaS, law firm, or technology company.
• Comfortable reviewing standard contracts and identifying when language requires escalation to external counsel.
• Familiarity with SaaS agreements, NDAs, DPAs, order forms, vendor agreements, and security or privacy-related contract terms.
• Experience coordinating with external counsel and translating legal guidance into clear business recommendations.
• Highly organized, detail-oriented, and experienced in building processes, systems, templates, and documentation from scratch.
• Clear and practical communicator capable of working cross-functionally with Sales, Customer Success, Security, Business Operations, and leadership.
