- • Serve as the primary legal counsel for Unison Infrastructure Solutions LLC’s real estate transactions in Germany, including acquisition, disposition, leasing, and financing of assets hosting renewable energy and digital infrastructure.
- • Draft, review, and negotiate commercial real estate purchase and sale agreements, land use agreements, easements, and site leases for wind farms, solar projects, battery storage facilities, communications towers, wireless sites, and enterprise data centers.
- • Coordinate with local German notaries, land registries, and municipal authorities to ensure compliance with German property law, zoning regulations, and environmental permitting requirements.
- • Advise on title due diligence, survey reviews, and encumbrance identification for real estate assets across Germany, ensuring clear and marketable title for acquisition and financing purposes.
- • Structure and document joint venture arrangements, co-location agreements, and infrastructure sharing arrangements between Unison and third-party operators of critical infrastructure.
- • Collaborate with internal finance, asset management, and development teams to align legal strategy with investment objectives and portfolio growth targets in the German market.
- • Prepare and maintain legal documentation for all German real estate holdings, including lease abstracts, title reports, regulatory filings, and compliance records.
- • Provide legal guidance on tenant obligations, operational restrictions, and access rights related to infrastructure hosted on real estate assets, particularly in relation to energy and telecommunications providers.
- • Interface with external counsel, surveyors, environmental consultants, and government agencies to resolve legal and regulatory issues impacting asset acquisition or operation.
- • Stay current on evolving German real estate, energy, and telecommunications regulations affecting infrastructure siting, grid interconnection, and land use permissions.
- • Support due diligence processes for new investment opportunities in Germany, including legal risk assessment, contract review, and regulatory exposure analysis.
- • Prepare legal memos and presentations for internal stakeholders and external investors regarding the legal status and risks associated with German real estate assets.
- • Ensure all real estate transactions comply with Unison’s internal policies, corporate governance standards, and international investment compliance frameworks.
- • Manage external legal vendors and outside counsel in Germany, ensuring cost-effective and timely legal support for transactional and operational matters.
- • Participate in cross-border legal coordination between German operations and Unison’s U.S.-based legal and compliance teams.
- • Maintain accurate and organized legal files for all German real estate assets, ensuring readiness for audits, financings, or future dispositions.
- • Represent Unison in legal negotiations with landowners, utility companies, telecom operators, and government entities regarding infrastructure siting and land access rights.
- • Identify and mitigate legal risks associated with long-term infrastructure leases, decommissioning obligations, and environmental liabilities tied to real estate holdings.
- • Contribute to the development of standardized legal templates and playbooks for German real estate transactions to improve efficiency and consistency across the portfolio.
