We are seeking a highly skilled and motivated Senior Commercial Counsel to serve as the indispensable legal anchor for our dynamic sales operations. In this pivotal role, you will be entrusted with the comprehensive review, meticulous redlining, and strategic negotiation of a diverse array of contracts with our valued customers and partners. You will collaborate intimately with our Sales teams and senior Leadership, acting as a critical facilitator to ensure that deals progress efficiently while rigorously safeguarding Profound’s interests and mitigating potential risks.
- • Your responsibilities will encompass the full spectrum of commercial legal work. This includes, but is not limited to, the thorough review, detailed redlining, and expert negotiation of a wide variety of outbound commercial agreements. You will handle sell-side contracts, complex procurement agreements, strategic partnership agreements, and bespoke business development deals, each requiring a nuanced understanding of legal frameworks and commercial objectives.
- • As the primary legal point of contact for the Sales department, you will guide and support them through the entire deal lifecycle, from initial engagement to final contract execution. Your proactive involvement will ensure that legal considerations are addressed seamlessly, enabling faster deal closures and fostering stronger client relationships.
- • A key aspect of this role involves the strategic development and ongoing maintenance of our contract templates and playbooks. This initiative is crucial for enhancing operational efficiency, standardizing legal processes, and ensuring consistency across all agreements. You will play a vital role in streamlining our contracting procedures, allowing the sales team to operate with greater speed and confidence.
- • Furthermore, you will be instrumental in implementing and continuously iterating on the company’s AI legal operations strategy. This forward-thinking approach requires staying abreast of the rapidly evolving legal landscape surrounding AI, data privacy, and intellectual property. 🎯 Requirements
- • 6-10 years of legal experience, with a minimum of 2 years specifically focused on negotiating B2B SaaS contracts within a global, in-house, data-centric SaaS organization characterized by high deal velocity.
- • Demonstrated exceptional judgment and critical thinking skills, with a proven ability to analyze complex situations and provide sound legal and business advice.
- • A strong track record of promoting scalable processes and procedures, coupled with an obsession for ensuring both internal client and external customer satisfaction.
- • Ability to manage the sales contract review and negotiation process autonomously, demonstrating independence, patience, thoughtfulness, and adaptability in a demanding, fast-paced environment.
- • Proficiency in the transactional aspects of GDPR and other relevant data privacy regulations.
- • Licensed to practice law in the U.S.
