- • Structure, redline, negotiate, and close a broad range of commercial agreements including license agreements, SaaS agreements, partnership contracts, and strategic alliances, ensuring favorable terms while balancing business objectives and legal risk
- • Own end-to-end legal support for strategic transactions, serving as the primary legal contact for high-value agreements with customers, vendors, and partners
- • Assess legal and commercial risk in complex transactions and provide timely, business-focused advice with clear recommendations, practical alternatives to blockers, and methods to accelerate contract velocity
- • Collaborate with cross-functional stakeholders including Sales, Finance, Product, Privacy, Security, Partnerships, and Procurement to solve problems, build partnerships, and achieve business goals
- • Develop and improve contract templates, playbooks, and supporting documentation to increase team efficiency and scalability
- • Monitor legal and regulatory developments relevant to commercial contracting and translate them into actionable guidance for the business
- • Support dispute resolution processes related to commercial agreements
- • Handle other business needs as they arise, adapting to evolving priorities in a dynamic environment
- • In the first year, deliver measurable impact by timely resolving critical contracting work and contributing to tools and guidance that accelerate contract review cycles
- • Navigate ambiguity with confidence to help shape emerging business models and go-to-market initiatives as the company scales
- • Foster alignment between business goals and legal frameworks by applying original and innovative thinking to better serve business needs
- • Build deep, collaborative relationships with key business and legal stakeholders across the U.S. and internationally, fostering open lines of communication and feedback
- • Contribute to a culture of open dialogue and collaborative problem-solving within the legal team and across the organization
- • Provide practical legal guidance to Sales, Partnerships, Procurement, and Customer Success teams to move complex, high-value deals forward while managing risk
- • Serve as a trusted legal partner to multiple departments, translating complex legal concepts into clear, actionable advice for non-legal stakeholders
- • Independently lead strategic transactions with enterprise customers, vendors, and partners without direct supervision
- • Maintain proficiency in Microsoft Office Suite and Adobe Acrobat to efficiently manage and revise legal documents
- • Manage multiple priorities simultaneously in a fast-paced, dynamic environment while working independently and meeting deadlines
🎯 Requirements
- • J.D. from an accredited law school and active bar admission (in good standing) in at least one U.S. jurisdiction
- • 3-6 years of experience in commercial contract negotiation
- • Proven track record of independently leading and closing strategic agreements with enterprise customers, vendors, and partners
- • Deep expertise in technology contract terms including licensing models, indemnification, limitation of liability, IP ownership, data protection and privacy provisions
- • Experience developing and implementing contract playbooks, templates, and negotiation guidelines at scale
- • Strong business judgment with the ability to balance legal risk against commercial objectives and deliver practical, actionable advice
