• • GRVT Pte. Ltd. is seeking a highly motivated and detail-oriented Senior Legal Counsel to join our dynamic team in Malaysia. This pivotal role is designed for a legal professional with a robust understanding of contractual drafting, regulatory analysis, and a proven ability to navigate the complexities of the fast-moving crypto and blockchain industry. As a Senior Legal Counsel, you will be instrumental in supporting GRVT’s overarching legal, regulatory, and commercial strategies, ensuring compliance and mitigating risk across our global operations.
• • You will work closely with the Head of Legal and Compliance, providing essential day-to-day legal support to senior management and various internal teams. Your insights and guidance will be crucial in enabling our business units to operate effectively and strategically within the legal framework. This collaborative approach ensures that legal considerations are integrated seamlessly into business decisions, fostering a culture of proactive risk management and compliance.
• • A core aspect of your role will involve the meticulous review, drafting, and management of a wide array of commercial agreements. This includes, but is not limited to, Non-Disclosure Agreements (NDAs), Memoranda of Understanding (MOUs), service agreements, partnership contracts, and vendor agreements. While you will operate with a degree of autonomy, you will also receive guidance on more complex or high-stakes matters, ensuring consistency and adherence to GRVT’s legal standards.
• • You will be tasked with conducting in-depth legal research concerning corporate, fintech, and technology-related regulations across various relevant jurisdictions. This responsibility extends to the continuous monitoring of these regulatory landscapes, ensuring GRVT remains ahead of evolving legal requirements and compliance obligations. Your proactive approach to regulatory intelligence will be vital in shaping our strategic direction and operational policies.
• • The position also entails supporting critical corporate secretarial functions. This includes the preparation and management of board documentation, updating company policies to reflect current legal standards and business practices, and maintaining accurate corporate records. Ensuring the integrity and completeness of these records is paramount for corporate governance and compliance.
• • You will provide valuable assistance in diverse legal advisory areas, encompassing employment law, intellectual property (IP) protection, data protection regulations (such as GDPR or similar frameworks), and the interpretation of complex contractual clauses. Your ability to offer practical, business-oriented legal advice will empower internal stakeholders to make informed decisions.
• • Furthermore, you will play a supportive role in GRVT’s strategic initiatives, including capital raising activities and Mergers & Acquisitions (M&A) transactions. This involves contributing to due diligence processes, drafting transaction documents, and coordinating with internal and external parties to ensure smooth execution.
• • A significant part of your role will involve liaising effectively with external counsel, auditors, and regulatory bodies. You will be the point of contact for managing these relationships, particularly on complex or high-stakes matters, ensuring that GRVT’s interests are well-represented and that all interactions are conducted professionally and efficiently.
• • You will also be involved in handling investor-related issues, managing communications with investors, and contributing to the oversight of the company’s capitalization table. This requires a keen understanding of investor relations and corporate finance principles.
• • Support will be provided for licensing, registration processes, and ongoing engagement with regulatory authorities. This is crucial for maintaining GRVT’s operational licenses and ensuring compliance with all applicable regulatory frameworks in the jurisdictions where we operate.
• • Finally, you will contribute to corporate structuring and international expansion initiatives, providing legal insights to facilitate GRVT’s growth and global reach. This involves navigating the legal intricacies of establishing and operating in new markets.
