- • Nielsen is seeking a highly skilled and motivated Senior Legal Counsel, Commercial to join our dynamic Legal Department, specifically supporting our cutting-edge Audience Measurement business. This pivotal role offers an exceptional opportunity to shape the legal landscape of data and information services within the rapidly evolving media and advertising industry. You will be instrumental in advising and supporting our product, data, technology, and commercial teams, ensuring that Nielsen operates at the forefront of innovation while maintaining robust legal compliance and mitigating risk.
- • As a Senior Counsel, your primary responsibilities will revolve around the drafting, meticulous review, and skillful negotiation of a wide array of commercial agreements. This includes, but is not limited to, complex master service agreements (MSAs), detailed statements of work (SOWs), inbound and outbound licensing agreements for data and technology, crucial data supplier and integration agreements, comprehensive technology services agreements, essential supplier agreements, and standard non-disclosure agreements (NDAs). Your expertise will be critical in structuring these agreements to protect Nielsen's interests while facilitating business growth and strategic partnerships.
- • You will provide essential legal support for the entire lifecycle of our products, from initial development and distribution to final sales. This requires a unique ability to deeply understand, interpret, and translate complex legal, business, and technical concepts. Your insights will be invaluable in providing clear opinions on legal risks associated with new initiatives and ensuring that all contractual terms are appropriately structured to safeguard Nielsen's position and objectives.
- • A core aspect of this role involves delivering practical, business-oriented legal advice and expert contract interpretation to our internal business teams. 🎯 Requirements
- • Juris Doctor (JD) degree or equivalent from an accredited law school.
- • Admission to at least one state bar and willingness to register as in-house counsel if applicable.
- • Minimum of 5-7 years of relevant legal experience, with a significant focus on commercial contracting, technology licensing, and/or data-related agreements, preferably gained at a law firm or in-house legal department of a technology or media company.
- • Proven ability to draft, review, and negotiate complex commercial agreements with a strong understanding of legal principles related to intellectual property, data privacy, and technology transactions.
- • Excellent communication, negotiation, and interpersonal skills, with the ability to effectively advise and influence business stakeholders at all levels.
- • Strong analytical and problem-solving skills, with a detail-oriented and pragmatic approach to legal counsel.
- • Ability to manage multiple priorities and work independently in a fast-paced, remote environment.
