Senior Legal Counsel - Commercial

📋 Description

• • Lead the end-to-end commercial legal function at OLIX, including strategy, team development, deal flow, tooling, and standards as the company scales from a small legal team to a high-impact function.
• • Personally negotiate and manage OLIX’s largest and most complex commercial agreements, including customer contracts with hyperscalers, supply agreements with manufacturing partners, NREs, JDAs, and strategic partnerships.
• • Build, hire, develop, and manage a growing commercial legal team of junior counsel and paralegals, establishing clear career pathways and performance standards.
• • Design and implement scalable legal playbooks, fallback positions, and standardized contract templates to ensure consistency and efficiency across all commercial transactions.
• • Integrate AI tools deeply into daily legal workflows, including triage, first-pass review, redline generation, clause extraction, precedent search, and playbook enforcement to accelerate contract lifecycle management.
• • Define OLIX’s commercial legal positions on critical terms such as liability caps, indemnities, IP ownership and licensing, data protection, warranties, termination rights, and service level agreements.
• • Partner closely with Sales, Procurement, Operations, and Engineering teams to align legal strategy with business objectives and accelerate deal execution.
• • Manage relationships with external counsel for specialized areas including US contracting, intellectual property, data compliance, and export controls.
• • Contribute to the selection, implementation, and internal enablement of contract lifecycle management (CLM) systems and legal AI tooling across the broader legal team.
• • Drive automation initiatives to build scalable systems that reduce manual work, prioritizing solutions that solve problems repeatedly rather than on a case-by-case basis.
• • Maintain direct, plain-language communication with non-legal stakeholders to ensure clarity, speed, and alignment in commercial negotiations.
• • Support cross-functional legal matters with the Director of Legal, including corporate governance, regulatory compliance, and other areas intersecting with commercial contracting.
• • Act as a player-coach: remain hands-on in negotiations and drafting while simultaneously building the team and infrastructure to support future growth.
• • Utilize AI fluency as a core professional skill, demonstrating practical, daily use of AI tools and understanding their strengths and limitations in legal contexts.
• • Contribute to the development of internal legal workflows using low-code or coding tools (e.g., Python, SQL, Zapier, n8n) where applicable to enhance efficiency.
• • Ensure compliance with U.S. export control regulations by verifying candidate eligibility based on citizenship or permanent residency status.
• • Operate with commercial pragmatism, autonomy, and speed, making decisions independently while maintaining alignment with company risk appetite and strategic goals.
