  • • We are seeking a highly analytical and meticulously detail-oriented Stock Plan Administrator to become an integral part of our Finance team. This pivotal role will be responsible for the comprehensive day-to-day administration of Virta’s diverse equity compensation programs. Your primary focus will be to ensure that all equity transactions, from initial grants to final settlements, are processed with the utmost accuracy, efficiency, and in strict adherence to all applicable laws, regulations, and internal company policies.
  • • You will serve as a key liaison, collaborating closely with various internal departments, including Total Rewards, Payroll, and Legal, as well as external auditors. This cross-functional partnership is essential for maintaining robust internal controls, fulfilling critical financial reporting requirements, and ultimately delivering an exceptional and seamless equity experience for all Virta team members.
  • • Your core responsibilities will encompass the complete administration of Virta’s equity compensation landscape. This includes managing stock options, Restricted Stock Units (RSUs), and any other forms of equity awards granted to employees. You will be the go-to person for processing all equity-related events, such as new grant issuances, vesting milestones, option exercises, award cancellations, and processing terminations, all within our specialized equity management and administration software platform.
  • • Maintaining the integrity and accuracy of our equity records will be paramount. This involves diligently reconciling data across multiple systems, including our equity platform, human resources information systems (HRIS), and payroll systems, to ensure a single source of truth.
  • • You will play a crucial role in preparing comprehensive reports for the Compensation Committee, detailing new grants that require their formal approval, ensuring transparency and proper governance.
  • • Supporting payroll reporting and ensuring accurate tax withholding related to equity events will be a key function. This includes the meticulous preparation and filing of essential tax forms, such as Form 3921.
  • • A significant aspect of your role will involve partnering closely with the Legal department to guarantee unwavering compliance with all relevant plan documents, board approvals, and regulatory frameworks. This includes a deep understanding and application of accounting standards like ASC 718 and 409A, as well as SEC reporting requirements where applicable.
  • • You will be a primary point of contact for employees, responding to their inquiries regarding equity awards and actively supporting educational initiatives to enhance their understanding and appreciation of their equity compensation.
  • • A proactive approach to process improvement will be highly valued. You will be tasked with identifying opportunities to streamline workflows, enhance efficiency, and strengthen internal controls surrounding all aspects of equity administration.
  • • Furthermore, you will provide essential support for strategic special projects. This may include managing equity refresh cycles, assisting with plan amendments, and contributing to the equity aspects of corporate transactions, ensuring smooth and compliant execution.
