- • Elliptic Enterprises Limited is thrilled to announce a significant milestone in our legal team's expansion: the recruitment of our very first US-based Associate Legal Counsel. This pivotal role marks the establishment of our dedicated legal presence in the Americas, and we are seeking a dynamic and self-assured legal professional to fill this crucial position. Based in New York, you will be instrumental in shaping and executing our legal strategy within the US market, working in close collaboration with our established and supportive legal team in London.
- • As the primary legal point of contact for our US Sales and Revenue teams, you will assume comprehensive ownership of all contracting matters across the Americas. This includes spearheading the negotiation of complex Software-as-a-Service (SaaS) customer agreements, which will constitute approximately 90% of your workload, as well as managing strategic partnership agreements and supplier contracts. Your responsibilities will span the entire contract lifecycle, from the initial Request for Information (RFI) stage through to final execution, ensuring that legal risks are meticulously managed in a balanced and business-centric manner.
- • This role demands a high degree of autonomy and proactive engagement. You will be expected to work independently on US commercial transactions, demonstrating sound judgment and a deep understanding of our business objectives. Simultaneously, maintaining close alignment with legal leadership in London is paramount, requiring strong cross-border communication and collaboration skills. You will report directly to the Head of Legal in London, necessitating a proactive approach to communication and a keen ability to navigate different time zones and legal jurisdictions.
- • You will serve as a trusted legal advisor to non-legal stakeholders, providing clear, practical, and actionable legal advice. This involves translating complex legal concepts into understandable terms and offering solutions that facilitate business growth while mitigating risk. Your ability to build strong relationships with Senior Leadership, Sales, and Revenue Operations teams will be key to your success in this role.

🎯 Requirements
- • At least three years of post-bar legal experience (or similar relevant experience) with a strong background in SaaS and commercial contracts.
- • Proven experience negotiating Statements of Work (SoWs), Data Processing Agreements (DPAs), and commercial agreements with enterprise clients and/or financial institutions.
- • Strong understanding of key intellectual property and data protection issues within the US legal context.
- • Excellent written and verbal communication skills, with the ability to advise non-legal stakeholders effectively.
- • Based in New York and available to attend the New York office at least two days a week.
- • Comfortable working autonomously as the sole legal representative in the US, with regular collaboration with the UK Legal team.
