  • • As Commercial Counsel at CodeRabbit, you will serve as a foundational legal partner supporting the company’s go-to-market motion and helping scale its commercial legal infrastructure during rapid growth. You’ll see legal not as a cost center but as a growth engine, directly enabling revenue acceleration through smart, agile contracting.
  • • Day to day, you will draft, review, and negotiate commercial agreements with a focus on GTM/Sales transactions—including enterprise customer contracts, MSAs, service agreements, and security-related terms. You’ll partner closely with Sales, Deal Desk, Customer Success, and Partnerships to accelerate deal execution, shorten procurement cycles without compromising risk boundaries, and support expansions, renewals, and strategic negotiations. You’ll also structure AI-related risk allocation clearly and practically.
  • • You’ll build the commercial engine by creating scalable templates and fallback positions, identifying redline patterns to refine contract strategy, designing approval workflows that match sales velocity, tracking and improving legal-related deal metrics, and partnering on audits and diligence requests. Staying current on legal developments affecting AI technologies will be essential.
  • • CodeRabbit is an innovative R&D company building human-machine collaboration systems to create the next generation of Gen AI-driven code reviewers. The company combines language models with human ingenuity to push the boundaries of software development efficiency and quality. As Commercial Counsel, you’ll help scale AI for developers by ensuring legal processes keep pace with innovation and growth.
  • • In this role, you’ll achieve success by accelerating enterprise deals, positioning legal as a strategic revenue partner, decreasing contract friction over time, and calibrating risk rather than avoiding it. You’ll develop deep expertise in SaaS and AI contracting, sharpen your enterprise negotiation skills, and gain experience shaping legal strategy in a high-growth, ambiguous environment—making you a stronger, more strategic legal advisor.

🎯 Requirements

  • • A law degree from an accredited law school
  • • 4+ years of SaaS commercial contracting experience
  • • Transactional background in SaaS, technology, IP licensing, commercial agreements, and/or M&A transactions
  • • Strong enterprise negotiation experience
  • • High business judgment — knowing when to push and when to flex
  • • Comfort operating in ambiguity and high-growth environments
