- • Draft, negotiate, and manage a wide range of commercial and government agreements including enterprise SaaS contracts, business associate agreements (BAAs), data processing agreements (DPAs), strategic partnerships, and vendor contracts.
- • Negotiate directly with large enterprise customers, government entities, and strategic partners, balancing speed-to-close with thoughtful risk mitigation while ensuring compliance with regulatory requirements.
- • Provide proactive legal counsel on privacy, product development, compliance, and enforcement matters as they arise across Truven’s healthcare data and technology products.
- • Develop a deep understanding of Truven’s products, business model, and strategy to deliver practical, actionable legal advice that supports sales, innovation, and growth.
- • Build and maintain strong relationships with senior leadership, Sales, Product, Engineering, Security, and Operations teams to align legal strategy with business objectives.
- • Assist in designing and improving scalable contracting processes and systems to enhance efficiency and compliance across the organization.
- • Work with existing contract management platforms to identify gaps, implement enhancements, and support standardization of legal workflows.
- • Provide guidance on data use terms, regulatory compliance, and flow-down requirements in contracts involving health data, analytics, and technology solutions.
- • Collaborate on the development of new products and markets by integrating legal risk assessment into the product lifecycle from inception through commercialization.
- • Handle a high volume of complex transactions in a fast-paced environment with shifting priorities, tight deadlines, and multiple stakeholders while maintaining meticulous attention to detail.
- • Contribute to the legal team’s mission of enabling Truven to turn complex healthcare data into clear, actionable insights that improve population health and program performance.
- • Support compliance with federal and state regulations governing healthcare data, including HIPAA, GDPR, and other privacy frameworks applicable to health analytics and SaaS platforms.
- • Engage with government procurement processes and understand public sector contracting requirements, including flow-down clauses and federal compliance obligations.
- • Operate as a trusted business partner who can spot legal risks, communicate them clearly, and propose pragmatic solutions that enable teams to move forward without compromising integrity or compliance.
- • Participate in cross-functional initiatives to scale legal operations in alignment with Truven’s growth trajectory in health data, analytics, and technology markets.
🎯 Requirements
- • J.D. from an ABA-accredited law school and qualified to practice law in-house in the state where you live/work (or ability to obtain promptly)
- • 3+ years of relevant experience (law firm and/or in-house) supporting commercial, product, technology, and/or regulated-industry work
- • Strong drafting and negotiation skills with a track record of closing complex agreements
- • Working knowledge of data privacy concepts and experience supporting privacy-forward contracting (e.g., DPAs, BAAs, data use terms)
- • Experience in health tech, data, SaaS, analytics, or other regulated technology environments
- • Comfort working in a fast-moving environment with multiple stakeholders, shifting priorities, and tight deadlines
