📋 Description

• As a Commercial Counsel at Optro Inc., you will play a pivotal role in supporting the company's rapid growth by independently leading legal negotiations with customers and providing essential guidance on a variety of critical transactions. This position is integral to the expanding legal team, reporting directly to the Head of Legal, and will be instrumental in shaping key initiatives aimed at streamlining the contracting process as Optro continues its impressive scaling trajectory. You will be the primary regional legal support for the UK&I and broader international markets, ensuring that Optro's commercial agreements are robust, compliant, and aligned with business objectives.
• Your day-to-day responsibilities will encompass the meticulous review and negotiation of a wide range of commercial agreements. This includes, but is not limited to, complex subscription agreements for Optro's leading audit, risk, ESG, and InfoSec platform, as well as vendor agreements crucial for operational efficiency and partner agreements that foster strategic alliances. You will be expected to manage the full contract lifecycle, from initial Non-Disclosure Agreements (NDAs) through internal approval processes, to the final conclusion of the signature process, ensuring a seamless and efficient experience for all parties involved. A significant portion of your role will involve direct interaction with potential customers, vendors, and partners, requiring you to effectively communicate legal terms and mitigate risks. You will also collaborate closely with internal stakeholders and executives across various departments, including sales, information security, and finance, to ensure that all agreements meet the company's strategic and operational needs. Furthermore, you will provide general legal guidance on transactional matters, advising on best practices and potential legal implications.
• You will be a key player in driving initiatives to enhance and optimize Optro's contracting processes. This involves identifying areas for improvement, developing standardized contract templates, and implementing efficient workflows to support the company's rapid expansion. Your expertise will be vital in ensuring that Optro's legal framework remains agile and scalable, capable of supporting its ambitious growth targets. 🎯 Requirements

• 5+ years of in-house transactional experience, with a proven track record of direct interaction with customers, vendors, partners, and internal stakeholders from sales to information security.
• 3+ years of experience negotiating SaaS agreements, Amendments, and Order Forms with enterprise customers.
• Licensed to practice law and in good standing in England.
• Proficiency in editing and managing contracts using both Microsoft Office and Google product Suites.
• Knowledge of relevant data privacy laws and regulations, including GDPR.
