  • • We are seeking a highly skilled and proactive Company Secretary to join our dynamic team in London. Reporting directly to the Legal Director, this pivotal role is responsible for providing comprehensive, high-quality governance services across PPRO’s intricate global corporate structure. You will be instrumental in ensuring the Group adheres to all statutory and regulatory obligations, a critical task given our standing as a private limited company operating within the highly regulated financial services sector.
  • • Your responsibilities will extend to facilitating the smooth and effective operation of our Boards, ensuring that meetings are well-prepared, decisions are accurately minuted, and follow-up actions are tracked diligently. A key aspect of this role involves maintaining rigorous compliance for our numerous subsidiaries, ensuring that each entity operates within its local regulatory framework and PPRO’s group-wide governance standards. You will serve as a crucial nexus, fostering seamless communication and coordination between our Directors, Executive Management, and vital cross-functional teams, including Legal, Risk, Compliance, and Finance.
  • • The PPRO Group is a substantial entity, with PPRO Holding GmbH serving as the German-incorporated parent company overseeing a global network of over 20 subsidiaries spread across the EMEA, APAC, and Americas regions. Our operational structure is built upon two key regulated pillars: PPRO Financial Limited, our UK-based entity holding an FCA license as an Electronic Money Institution, and Payment Services S.A., our Luxembourg-based entity licensed by the CSSF as a Payment Institution. This complex structure necessitates a robust and adaptable governance framework.
  • • In this role, you will play a key part in supporting the governance of our shareholder-led Advisory Board and the specialized Board, Audit, Risk, and Compliance Committee (BARCC). This includes preparing agendas, compiling board packs, attending meetings, taking accurate minutes, and managing action points. You will be responsible for maintaining statutory registers, ensuring timely filings with Companies House and other relevant authorities, and overseeing the administration of subsidiary companies, including incorporations, dissolutions, and maintaining up-to-date constitutional documents.
  • • Furthermore, you will be involved in advising the business on corporate governance best practices, assisting with the implementation of new policies and procedures, and ensuring compliance with relevant legislation and regulations, such as the Companies Act and corporate governance codes. You will also manage the onboarding process for new directors and board members, ensuring they receive appropriate induction and information. This role requires a meticulous approach to detail, excellent organizational skills, and the ability to manage multiple priorities in a fast-paced environment. You will be a trusted advisor, ensuring that PPRO maintains the highest standards of corporate governance as it continues its rapid global expansion.
  • • The Company Secretary will also be responsible for coordinating shareholder communications and meetings, managing the company's share register, and ensuring compliance with listing rules if applicable in the future. You will work closely with the Legal Director to manage legal entity lifecycles, including mergers, acquisitions, and restructurings, ensuring all corporate actions are properly documented and executed. Your proactive engagement with internal stakeholders will be key to embedding a strong governance culture throughout the organization, supporting PPRO's strategic objectives and commitment to operational excellence.

🎯 Requirements

  • • Proven experience as a Company Secretary or in a similar senior governance role, preferably within the financial services or fintech industry.
  • • Strong understanding of UK company law, corporate governance principles, and regulatory requirements applicable to financial institutions.
  • • Excellent minute-taking skills, with the ability to draft clear, concise, and accurate board minutes and resolutions.
  • • Proficiency in managing statutory registers, company filings (e.g., Companies House), and subsidiary administration.
  • • Exceptional organizational and time-management skills, with the ability to manage multiple projects and deadlines effectively.
