- • As the first dedicated legal partner for Vytalize Health’s technology initiatives, you will serve as the primary legal advisor to engineering, product, and data platform teams, ensuring legal alignment with the company’s mission to advance value-based healthcare through AI and data innovation.
- • You will own end-to-end legal review, negotiation, and execution of technology vendor agreements, including SaaS subscriptions, MSAs, SOWs, and professional services contracts, while building a lightweight contracting playbook to streamline processes and eliminate unnecessary delays.
- • You will serve as the primary legal advisor for AI, data, and IP strategy, structuring and negotiating data use agreements, advising on HIPAA and BAA compliance in AI/ML contexts, monitoring FDA positioning for clinical decision support under the 21st Century Cures Act, and supporting enterprise AI governance frameworks for LLM-based tools.
- • You will provide ongoing legal support for the Vytal Insights subsidiary, managing inter-company agreements, IP assignment, transfer pricing, and 409A valuation coordination, while offering legal input on capital structure and commercial SaaS/enterprise licensing as the subsidiary approaches commercialization.
- • You will act as the internal legal resource for technology disputes, M&A diligence, recapitalization scenarios, and debt facility coordination, bridging external transaction counsel with internal business teams to support strategic transactions and capital structure decisions.
- • You will operate as a self-directed, high-throughput legal practitioner within a fast-moving, PE-backed health tech environment, balancing commercial speed with legal rigor to enable rapid innovation while mitigating risk.
- • You will join a mission-driven organization building a market leader in value-based healthcare, where your legal expertise directly contributes to scaling AI and data platforms that improve patient outcomes and reduce healthcare costs.
🎯 Requirements
- • J.D. from an accredited law school and active bar membership in at least one U.S. state.
- • Minimum 5 years of progressive legal experience with substantial technology transactions work, including vendor contracting, SaaS agreements, data licensing, and IP protection.
- • Demonstrated experience with healthcare data governance: HIPAA, BAAs, data use agreements, and de-identification in the context of analytics or AI/ML.
