- • As Alan's senior Corporate Legal Counsel, you will own the legal structuring and regulatory pathway for strategic launches, including new business lines and international expansion, working closely with product and business teams to ensure legally sound and business-enabling setups.
- • You will shepherd M&A transactions from LOI to closing, independently structuring deals, drafting and negotiating LOIs and SPAs, running legal due diligence, resolving deal-breaking issues, and delivering closed transactions.
- • You will solve multi-jurisdictional equity challenges, design compliant equity programs across countries, and own corporate governance legal operations, including drafting Board resolutions, managing share transfers, and strengthening governance structures.
- • You will build internal legal frameworks and templates to increase legal autonomy, manage external counsel budgets and quality, and contribute to Alan’s tax framework by partnering with Finance on complex international tax questions.
- • You will work within the Corporate Governance Area led by Anne-Lise Delfanne, collaborating with strategists to drive holistic governance outcomes and support teammates in understanding legal and regulatory contexts for transversal projects.
- • After six months, you will have taken ownership of major legal workstreams, provided trusted legal contributions to internal teams, built or enhanced legal templates reducing external counsel reliance, and demonstrated comfort with Alan’s written, async, transparent, and accountable work culture.
🎯 Requirements
- • 5 to 10 years of Corporate, M&A, and/or tax law practice in an international environment, with drafting in English and at least 3 years at a top international law firm
- • Mastery of legal writing in both French and English
- • Strong expertise in at least one of Alan’s core corporate practice areas (e.g., M&A, equity, governance, tax) with appetite to build transversal skills across the full Corporate Governance scope
