📋 Description
- • The Counsel – Equity Management role is critical to supporting Wealth Enhancement Group’s equity compensation strategy and securities law compliance framework, ensuring that equity programs are structured, administered, and documented in a compliant and operationally effective manner.
- • Day to day, the individual will serve as the Legal department lead for equity compensation matters, overseeing day-to-day legal compliance for equity programs including profits interests, incentive units, and cash-equivalent arrangements; advising on design, implementation, and administration; partnering with Finance, HR, Payroll, and external counsel; interpreting LLC agreement provisions; tracking accredited investor status; preparing and reviewing securities filings such as Form D; managing outside counsel; supporting M&A and capital-raising activities; drafting and maintaining equity-related documentation; and providing general legal support and thought leadership on equity governance.
- • The role operates within Wealth Enhancement Group, an independent wealth management firm serving over 80,000 households across more than 140 offices nationwide, known for its personalized financial planning through Roundtable and UniFi processes and a commitment to raising the standard of wealth management since 1997.
- • In this role, the individual can develop deep expertise in equity compensation and securities law within a growing financial services firm, lead cross-functional initiatives involving Legal, Finance, HR, and Payroll, gain experience in integrating AI tools into equity administration, and contribute to thought leadership and compliance culture while advancing professionally in a dynamic, mission-driven environment.
🎯 Requirements
- • Juris Doctor (JD) degree from an accredited law school
- • Active bar membership in at least one U.S. state
- • 4–8 years of legal experience with a strong background in equity compensation programs, corporate law, and securities law
- • Working knowledge of the Securities Act of 1933, Securities Exchange Act of 1934, and related SEC rules and exemptions
- • Experience drafting and advising on equity plan documents, award agreements, and private offering documentation
- • Strong understanding of equity compensation structures in private company environments
