  • • Catalight is seeking a highly skilled and experienced Director, Contract Management, to spearhead the negotiation, review, and comprehensive lifecycle management of contracts across our dynamic healthcare operations. This pivotal role is instrumental in ensuring legal compliance, driving operational efficiency, and fostering strategic alignment in all contracting activities.
  • • You will be responsible for overseeing the entire contract lifecycle, from initial drafting and meticulous review to negotiation, execution, secure storage, and ongoing monitoring. This includes developing and maintaining robust contract templates and standard clauses to guarantee consistency and adherence to legal requirements.
  • • A key aspect of this role involves managing the sourcing of critical third-party products and services for the organization, including the development of templates for Requests for Proposals (RFPs), conducting thorough vendor due diligence, scoring, and providing general support for vendor selection processes.
  • • You will also manage relationships with various external legal counsel, consulting with them on complex contractual terms and language modifications to safeguard the company's interests.
  • • A significant responsibility will be to develop, document, and implement the organization's contract administration policies and procedures, ensuring a standardized and efficient approach.
  • • This includes managing the intricacies of contract onboarding and termination processes, ensuring a smooth transition for all parties involved.
  • • You will partner closely with Business Owners to monitor and assess the performance of key critical vendors, ensuring strict adherence to Service Level Agreements (SLAs) and other contractual conditions, such as insurance coverages, security provisions, and employee screenings.
  • • In the realm of System Implementation and Optimization, you will lead or actively support the deployment and ongoing management of a Contract Lifecycle Management (CLM) system. Your efforts will be crucial in driving user adoption, facilitating comprehensive training, and redesigning processes to maximize the benefits of CLM technology.
  • • A forward-thinking component of this role involves the utilization of AI-based contract review tools. You will leverage these technologies to identify potential risks, flag anomalies, and significantly accelerate the contract review process. Furthermore, you will provide valuable insights and feedback to continuously improve the performance and usability of AI models in contract review workflows.
  • • Cross-Functional Collaboration is essential. You will serve as a key liaison between Legal, Finance, Compliance, IT, and various business stakeholders. A deep understanding of business needs will be required to tailor contract terms that align seamlessly with operational and strategic goals.
  • • Risk Management and Compliance are paramount. You will ensure that all contracts comply with applicable healthcare laws and regulations, including but not limited to HIPAA, the Anti-Kickback Statute, and Stark Law. Your role will involve identifying and mitigating contractual risks, and escalating significant issues to legal partners and business stakeholders in a timely and effective manner.
  • • Performance Metrics and Reporting will be a core function. You will track and report on key contract metrics, such as turnaround times, renewal dates, compliance rates, and risk profiles. Based on this data, you will recommend and implement process improvements to enhance contract cycle efficiency and strengthen overall governance.
  • • Team Management responsibilities include hiring, training, coaching, counseling, and evaluating the performance of direct reports. You will also assume budget responsibility for the team, ensuring efficient resource allocation.
  • • You will manage administrative and third-party contract negotiations, collaborating as necessary with FoC Business Owners, FoC Counsel, Vendor Sales Representatives, and Vendor Counsel.
  • • You will be responsible for completing additional job duties as assigned by your manager, demonstrating flexibility and a willingness to contribute wherever needed.

  • • Proficiency in Microsoft Office Suite, particularly Excel, and related software is expected, alongside the ability to thrive in a fast-paced environment while independently managing multiple competing priorities.
  • • Exceptional stakeholder management skills are required, with the ability to collaborate effectively at all levels and escalate risks in a solutions-oriented manner.
  • • Excellent verbal and written communication skills, including meticulous proofreading for accuracy, are essential for success in this role.
  • • Knowledge of data privacy and security requirements related to contracts is crucial.
  • • Sound business judgment with the ability to escalate legal issues appropriately to the right partners is a must.
  • • The capacity to work cross-functionally and partner effectively with FoC Business Owners to drive contracts to timely completion is vital.
  • • Experience with ServiceNow is preferred, and a high attention to detail combined with strong interpersonal skills will be key differentiators.
  • • You must be able to communicate effectively within the work environment, read and write using the primary language of the workplace, and possess visual and auditory abilities to effectively interact with clients, staff, and others.
  • • Utilization of computer and cell phone for effective communication is a standard requirement.
