- • Lead the strategic design, execution, and ongoing management of WEX Inc.'s executive compensation programs, ensuring alignment with business objectives and market best practices.
- • Provide expert guidance on the intricacies of executive compensation, encompassing base pay strategies, short-term and long-term incentive plans, and sophisticated equity dilution management.
- • Leverage deep familiarity with corporate governance frameworks, staying abreast of evolving trends, particularly those impacting SEC disclosures, ISS and Glass Lewis policies, and other critical technical aspects of executive remuneration.
- • Collaborate closely with Legal, Finance, and external consultants to navigate executive pay governance, ensure robust compliance, and prepare comprehensive disclosure materials.
- • Spearhead the creation of essential documentation for executive compensation analyses, including proxy statement tables and SEC filings, ensuring accuracy and adherence to regulatory requirements.
- • Develop and maintain sophisticated financial models for tracking long-term incentive plans and conducting thorough burn rate analyses, providing critical insights for strategic decision-making.
- • Oversee the comprehensive management of the company's equity and deferred compensation programs, ensuring efficient administration and compliance.
- • Manage the equity compensation program, including all aspects of grant administration, reporting, and compliance.
- • Oversee monthly equity reporting processes and conduct regular audits to ensure data integrity and accuracy.
- • Partner effectively with Finance, HR, and Legal departments to support the successful implementation and ongoing compliance of equity incentive programs with global regulations.
- • Manage and cultivate vendor relationships within the executive compensation and global mobility space, providing strategic recommendations to optimize vendor performance and ensure the attraction and retention of top-tier talent.
- • Offer direct, high-level support to executives, addressing inquiries related to all stock grants, as well as grants and retainers for the Board of Directors, ensuring clear and timely communication.
- • Drive the development and implementation of a forward-thinking global mobility strategy and comprehensive policies that are intrinsically aligned with WEX's mission, values, and organizational culture.
- • Manage the end-to-end global mobility lifecycle, encompassing the meticulous development of compensation recommendations for international assignments, transfers, and permanent relocations.
- • Collaborate proactively with business units and finance teams to accurately assess and manage relocation costs and navigate complex cross-country taxation implications.
- • Ensure rigorous compliance with all relevant SEC and IRS regulations, as well as SOX controls, pertaining to executive compensation programs.
- • Guarantee that tax preparations for mobility participants are fully compliant with the regulations of both home and host taxing authorities.
- • Foster strong alignment and collaboration with key stakeholders, including Finance, Legal, and HR Operations, to ensure seamless integration of global strategies and adherence to procedural expectations.
- • Contribute actively to special projects and initiatives, including broader compensation strategies and programs, as required, demonstrating flexibility and a commitment to organizational success.
- • Analyze compensation trends and market data to provide strategic recommendations for executive and broad-based compensation programs.
- • Prepare and present compensation-related information to senior leadership and the Compensation Committee of the Board of Directors.
- • Ensure the effective administration of all compensation programs, including payroll processing and system management.
- • Stay current with emerging trends and best practices in executive compensation and global mobility to continuously enhance program effectiveness.
- • Develop and deliver training sessions on executive compensation and global mobility policies and procedures to relevant stakeholders.
- • Manage the budget for executive compensation and global mobility programs, ensuring cost-effectiveness and optimal resource allocation.
- • Conduct regular reviews of compensation structures and policies to ensure competitiveness and internal equity.
- • Support M&A activities by assessing and integrating executive compensation and mobility programs of acquired companies.
- • Ensure the accurate and timely processing of all equity transactions and related filings.
- • Provide guidance on immigration and visa requirements for international assignees.
- • Develop and maintain strong relationships with external legal counsel and tax advisors specializing in executive compensation and global mobility.
- • Drive continuous improvement initiatives within the executive compensation and global mobility functions.
- • Ensure data privacy and security protocols are maintained for all sensitive compensation and mobility information.
- • Act as a subject matter expert for all executive compensation and global mobility-related inquiries across the organization.
