📋 Description

  • As an Entertainment Lawyer specializing in M&A within the music industry, you will play a critical role in enabling artists, songwriters, producers, and rights holders to maximize the value of their intellectual property through strategic music catalog transactions. Your legal expertise will directly support the execution of high-stakes deals that shape the global music rights landscape.
  • You will work remotely from Latin America with a prestigious sell-side advisory firm that advises clients worldwide on the valuation, positioning, and sale of music rights, ensuring transactions are legally sound, efficiently structured, and aligned with client objectives.
  • Review and analyze complex contracts related to music rights, including publishing agreements, master recording licenses, synchronization deals, and royalty arrangements, to assess validity, scope, and potential encumbrances.
  • Support legal due diligence for music catalog transactions by investigating chain of title, identifying gaps in rights ownership, and flagging risks such as unresolved claims, royalty disputes, or territorial limitations.
  • Assist in drafting and reviewing key transaction documents including NDAs, LOIs, term sheets, and APA schedules, ensuring accuracy, consistency, and alignment with deal terms under supervision of senior counsel.
  • Evaluate legal risks in music catalogs by cross-referencing contractual obligations with actual rights held, identifying issues like expired licenses, unauthorized samples, or conflicting royalty splits.
  • Coordinate with external law firms, clients (artists, publishers, estates), and internal deal teams to streamline communication, manage document requests, and maintain momentum throughout the transaction lifecycle.
  • Support negotiation efforts by preparing legal briefings on key contractual provisions, highlighting implications of indemnities, warranties, and post-closing obligations.
  • Help ensure compliance with evolving IP, copyright, and entertainment laws across jurisdictions, particularly in Latin America, the U.S., and Europe, adapting advice to regional legal frameworks.
  • Organize, version-control, and maintain secure repositories of all legal documentation using firm-approved systems, ensuring audit readiness and confidentiality.
  • Contribute to process improvements by suggesting standardized checklists, clause libraries, or workflow enhancements that increase efficiency in repeat transactions.
  • Stay current on industry trends in music monetization, streaming royalties, and emerging rights models (e.g., NFTs, social media licensing) to provide informed legal context.
  • Develop professional expertise in entertainment M&A, IP law, and deal structuring, positioning yourself for advancement into senior legal or advisory roles within the music or broader entertainment sector.

🎯 Requirements

  • Law degree and qualification to practice law (or actively in the process of qualification, depending on local jurisdiction requirements).
  • 2–3 years of professional experience in entertainment law, corporate law, mergers and acquisitions (M&A), or a related legal field with transactional exposure.
  • Demonstrated ability to review, interpret, and analyze complex legal contracts with precision and attention to detail.
  • Genuine interest or prior experience in the music, entertainment, or intellectual property industries.
  • Exceptional organizational skills and capacity to manage multiple workstreams in a fast-paced, deal-driven environment.
  • Proficiency in English; Spanish or Portuguese language skills are advantageous given the Latin America regional focus.
