- • This senior equity operations role presents a unique opportunity to own and scale a global equity program from its inception. You will be instrumental in establishing and refining critical functions, including comprehensive cap table management, meticulous validation of vested and exercised options and warrants, the strategic implementation and ongoing optimization of Shareworks as our primary equity management platform, and navigating the complexities of multi-jurisdictional regulations, with a particular focus on UK activities.
- • The ideal candidate will possess a forward-thinking mindset, looking beyond day-to-day administration to proactively future-proof our equity infrastructure for potential post-IPO scenarios. This includes ensuring seamless integration of Shareworks data with downstream accounting and financial reporting systems, thereby connecting operational equity data to its broader financial implications. This is an exciting chance to build a team and establish robust processes from the ground up, with significant opportunities for structuring and optimizing equity programs across multiple jurisdictions, all while collaborating with a world-class team.
- • **Key Responsibilities:**
- • Take full ownership of the company's cap table, ensuring its accuracy, resolving any existing discrepancies, and managing the issuance of share certificates as required.
- • Meticulously validate the number of stock options vested and exercised, as well as warrants vested, guaranteeing the integrity and accuracy of all equity-related records.
- • Lead the implementation of Shareworks as the company's definitive equity management platform, and drive its continuous optimization to maximize efficiency and functionality.
- • Ensure that data originating from Shareworks is accurately and reliably connected to downstream accounting and financial reporting systems, facilitating comprehensive financial oversight.
- • Develop, document, and implement robust equity operations processes and internal controls from the ground up, establishing a strong foundation for scalability and compliance.
- • Oversee and manage equity activities across various international jurisdictions, with a specific emphasis on the UK, ensuring strict adherence to all local compliance requirements and regulations.
- • Foster strong collaborative partnerships with the finance, legal, and accounting departments to provide essential support for all equity-related reporting, audits, and strategic initiatives.
- • Proactively anticipate and plan for post-IPO equity structures, including the strategic transition to single-trigger vesting for Restricted Stock Units (RSUs), ensuring the equity program is architected for future growth and scalability.
- • Identify, recruit, and develop a high-performing equity operations team over time, cultivating a culture of excellence and continuous improvement.
- • Contribute to the strategic financial planning by understanding and articulating the financial impact of equity transactions on the company's overall financial health.
- • Stay abreast of evolving equity regulations and best practices globally, adapting processes and controls as necessary to maintain compliance and efficiency.
- • Serve as the primary point of contact for all internal and external stakeholders regarding equity plan administration and operations.
- • Develop and maintain comprehensive documentation for all equity policies, procedures, and system configurations.
- • Support due diligence efforts related to equity matters during potential M&A activities or other strategic transactions.
- • Contribute to the development of employee education materials regarding equity plans and their implications.
