- • Own the end-to-end lifecycle of global legal entities for a portfolio of Fortune 500 and high-growth clients, ensuring every subsidiary, branch, and representative office is properly formed, maintained, and dissolved in 100+ jurisdictions.
- • Serve as the single point of accountability for corporate secretarial compliance, translating multi-country legislation into clear, executable roadmaps that keep directors, auditors, and regulators satisfied.
- • Build and maintain a living matrix of filing deadlines, capital requirements, and governance obligations across APAC, EMEA, and the Americas, turning an ever-changing patchwork of rules into a predictable, auditable rhythm.
- • Partner with cross-border tax, finance, and legal teams to align entity structures with transfer-pricing policies, cash-pooling strategies, and M&A integration plans—delivering measurable reductions in administrative overhead and risk exposure.
- • Drive the digital transformation of entity management by configuring HSP’s proprietary Atlas platform, integrating statutory registers, e-signature workflows, and document repositories so clients can view global compliance status in one click.
- • Coordinate local counsel, notaries, and government agents to execute incorporations, amendments, liquidations, and director changes—negotiating timelines, fees, and deliverables to beat statutory deadlines without premium rush charges.
- • Produce board resolutions, powers of attorney, and KYC packages that satisfy both stringent bank underwriters and Big-4 auditors, eliminating the back-and-forth that typically delays new market entry by weeks.
- • Conduct quarterly health-checks and risk assessments, flag dormant entities, missing filings, or outdated directorships, and present remediation plans that protect client reputations and preserve operating licenses.
- • Design and deliver training sessions for internal account managers and external client stakeholders, demystifying corporate governance so non-lawyers can confidently answer “What happens if we miss the annual return?”
- • Track emerging regulatory trends—such as UBO registers, economic substance tests, and digital filing mandates—and translate them into proactive guidance that positions HSP clients ahead of the compliance curve.
- • Champion continuous improvement by documenting playbooks, SLAs, and KPIs that shrink onboarding time for new clients from months to days while maintaining zero-defect quality.
- • Represent HSP at industry webinars and client QBRs, showcasing case studies where strategic entity rationalization saved millions in maintenance costs and freed capital for core business growth.
- • Mentor junior analysts in statutory research, minute-taking, and stakeholder communication, cultivating the next generation of global entity management experts within HSP’s rapidly scaling team.
🎯 Requirements
- • 3–7 years of hands-on experience in corporate secretarial, paralegal, or entity management roles with exposure to multi-jurisdictional compliance
- • Demonstrated ability to interpret and apply corporate law, filing requirements, and governance best practices across at least two of the following regions: APAC, EMEA, or the Americas
- • Advanced proficiency in Microsoft Excel and at least one entity-management or governance platform (Atlas, GEMS, hCue, Diligent, or similar)
- • Strong project-management skills with a track record of coordinating external counsel, notaries, and government agents to meet statutory deadlines
- • Bachelor’s degree in law, business, finance, or related field; ICSA, ACIS, or equivalent certification is a strong plus
