  • • As the first in-house Legal Counsel at Nivoda Limited, you will serve as the cornerstone of the company’s legal function, providing strategic, commercially-minded legal support across corporate, financing, commercial, governance, and employment matters while reducing reliance on external counsel and enabling scalable, high-velocity business operations.
  • • You will lead the legal execution of debt and equity financings, manage end-to-end diligence and documentation, maintain investor-ready materials, advise on corporate structuring and cap table considerations, and partner with Fintech, GTM, Finance, and Product teams to structure financing and credit offerings that balance growth with risk mitigation and enforceability.
  • • Acting as Company Secretary, you will support board and committee processes by preparing agendas and materials, taking accurate minutes, ensuring statutory filings and governance obligations are met across entities, and evolving governance frameworks toward IPO-grade standards.
  • • You will draft, review, and negotiate a broad range of commercial agreements, develop contract templates and playbooks to improve speed and consistency, strengthen contract management for audit readiness, manage disputes with pragmatic resolutions, and build standardised dispute resolution processes to reduce risk and enable faster resolution over time.
  • • In partnership with the People team, you will advise on employment and labour law matters, support employment contracts and offer letters, and help structure and maintain equity and incentive programmes (e.g., EMI/CSOP), including compliance, documentation, and governance.
  • • You will act as a strategic legal partner to the business by providing clear, pragmatic guidance that balances risk with business velocity, identifying legal and regulatory risks early, implementing practical mitigation strategies, and translating legal complexity into actionable frameworks for cross-functional teams.

🎯 Requirements

  • • 5–7 years post-qualification experience (PQE) at a reputable law firm with a corporate and/or finance background
  • • Experience advising scale-ups, particularly in fintech, tech, or marketplace industries
  • • Strong grounding in corporate law, financing transactions, and corporate governance
  • • Commercially minded with the ability to balance risk, pragmatism, and speed
  • • Excited to leverage legal tech, AI, and automation to improve efficiency, standardisation, and scalability of legal processes
