📋 Description
- • Provide legal and company secretarial services to Moniepoint and its affiliates, supporting the attainment of strategic objectives through compliance, governance, and legal risk management.
- • Coordinate board, shareholders, and committee meetings including issuance of notices, preparation of board packs, taking and circulating minutes, and advising on compliance with company law requirements.
- • Maintain statutory books and records, ensure safekeeping of legal documents, file regulatory returns with CAC, NSE, SEC, and CBN, and track deadlines for submissions.
- • Draft and track resolutions, prepare documentation for changes in board membership or share allotment, oversee legal proceedings with external counsel, and liaise with regulators and law enforcement.
- • Research and prepare legal opinions, advise on litigation matters, draft and review agreements, and support internal policy formulation and implementation.
