  • As a Legal Counsel specializing in Corporate & Commercial matters at Welltech, you will play a pivotal role in supporting our dynamic global operations. This position offers a unique opportunity to engage with a broad spectrum of legal challenges across multiple jurisdictions, including but not limited to the UK, Spain, Poland, Ukraine, and the US. You will be instrumental in navigating complex cross-border corporate governance, transactional work, and commercial agreements, collaborating closely with senior legal colleagues and external counsel to ensure robust legal frameworks that underpin our rapid growth.
  • Your primary responsibilities will encompass a wide array of legal activities. You will actively participate in and support cross-functional projects, which may involve intricate market entry strategies, forging strategic partnerships with key platforms and affiliates, executing cross-border transactions, and managing global hiring initiatives. A significant part of your role will involve the meticulous drafting, review, and negotiation of essential legal documentation, including critical commercial agreements, necessary approvals, and corporate resolutions, ensuring alignment with business objectives and legal compliance.
  • You will provide indispensable, business-oriented legal counsel on corporate and commercial matters, with a particular focus on key jurisdictions relevant to Welltech's operations. This includes advising on a diverse range of commercial agreements such as supplier, customer, partnership, online subscription, marketing, and services contracts. A key aspect of this will be your engagement with major technology platforms like Google, TikTok, and AWS, as well as with our valued affiliates and partners, ensuring our contractual relationships are both advantageous and legally sound.
  • Furthermore, you will be entrusted with the crucial responsibility of corporate governance and the ongoing maintenance of our group companies' legal standing. This involves managing essential corporate documentation, including board minutes, written resolutions, shareholder approvals, powers of attorney, and basic capital table updates, all in accordance with the legal requirements of the relevant jurisdictions.
  • In collaboration with our Human Resources department, you will provide expert legal support on employment lifecycle matters across various jurisdictions. This includes the critical review and maintenance of employment agreement templates and providing guidance on complex and sensitive legal queries related to our workforce.
  • A significant component of your role will be driving operational excellence and continuous process improvement within the legal department. You are encouraged to proactively identify and propose enhancements to existing legal processes, such as contract intake procedures, approval workflows, and the effective utilization of legal templates. Your day-to-day experience will be invaluable in suggesting updates to our playbooks, checklists, and templates, particularly in response to recurring issues encountered in your work.
  • You will also contribute to maintaining impeccable records and documentation, ensuring the integrity and accessibility of our contract repositories, corporate files, and approval trails. This meticulous approach to documentation is vital for compliance and efficient operations.
  • Your role will extend to proactive risk management and compliance within your defined scope. This involves identifying and flagging potential legal and commercial risks embedded within contracts and corporate actions, proposing pragmatic and effective mitigation strategies, and escalating issues appropriately when necessary. You will also be responsible for monitoring relevant legal and regulatory developments impacting our corporate and commercial operations in key regions like the UK, Poland, Ukraine, and Spain, and disseminating crucial updates to the legal team and relevant stakeholders.
  • This position requires a proactive, self-driven individual who can thrive in a fast-paced, global environment. You will be expected to work independently while also being a strong collaborator, managing multiple priorities and deadlines effectively. Your ability to simplify complex legal concepts for non-legal professionals and present clear, actionable recommendations will be key to your success.
