Legal Counsel (Real Estate Financing & Corporate Ventures)

📋 Description

• • Negotiate and document real estate financing transactions including construction loans, permanent debt facilities, sale-leaseback structures, and credit facilities secured by real property
• • Advise on and structure joint ventures, co-investment arrangements, and partnership agreements with infrastructure investors and strategic partners
• • Draft and negotiate term sheets, loan agreements, intercreditor agreements, security documents, and related financing instruments
• • Support corporate venture activities including minority investments, strategic partnerships, and corporate development transactions with a real estate component
• • Coordinate with Finance, Treasury, and Accounting teams on the legal aspects of capital structure decisions and debt covenant compliance
• • Work directly with external lenders, investors, and their counsel to close complex financing transactions efficiently and on favorable terms
• • Manage external legal counsel for financing transactions, ensuring cost discipline and strategic alignment with company objectives
• • Maintain and update form financing documents, term sheet templates, and investor agreement playbooks to standardize processes and reduce negotiation time
• • Advise on securities law considerations in connection with investor outreach and deal structuring to ensure regulatory compliance
• • Support the General Counsel on board-level and investor reporting obligations related to financing and corporate venture activities
• • Provide legal guidance on structured finance transactions specific to data center infrastructure, including build-to-suit arrangements and energy infrastructure financing
• • Identify and mitigate legal risks associated with multi-party, cross-border financing deals involving institutional lenders and private equity sponsors
• • Apply expertise in secured lending and real estate finance documentation to optimize transaction outcomes and protect company interests
• • Ensure all financing and venture transactions comply with applicable U.S. securities and real estate laws
• • Collaborate across departments to align legal strategy with capital-raising goals and infrastructure expansion initiatives
• • Prepare legal summaries and memos for internal stakeholders on complex financing structures and regulatory implications
• • Contribute to the development of internal legal frameworks for recurring transaction types in real estate and corporate venture contexts
• • Maintain up-to-date knowledge of market trends in real estate finance, infrastructure investment, and technology-backed asset financing
• • Participate in due diligence processes for capital-raising initiatives and corporate partnership opportunities
• • Ensure all legal documentation adheres to internal governance standards and external regulatory requirements
• • Act as a key legal advisor to the corporate development and treasury teams on capital strategy and structured financing options
