  • • As a M&A Financial Strategy Expert, you will be instrumental in shaping the financial landscape of critical mergers and acquisitions for our client. This contract-based role offers a unique opportunity to apply your deep financial acumen and strategic thinking to high-stakes transactions, directly influencing deal success and long-term business growth.
  • • Your primary responsibility will involve the meticulous development and rigorous evaluation of sophisticated M&A financial models. This includes constructing detailed merger models that forecast the financial impact of combining entities, as well as performing comprehensive accretion/dilution analyses to understand the earnings per share implications for the acquiring company. These models will serve as the bedrock for strategic decision-making, enabling scenario planning and risk assessment.
  • • You will be tasked with conducting thorough valuation analyses, employing a range of methodologies. This includes Discounted Cash Flow (DCF) analysis to project future cash flows and determine intrinsic value, trading comparables analysis to benchmark against similar publicly traded companies, and precedent transactions analysis to understand market multiples and deal terms for comparable past acquisitions. The insights derived from these valuations will be crucial in informing negotiation strategies and guiding investment decisions.
  • • A significant aspect of the role involves analyzing a variety of strategic transactions beyond simple acquisitions. This includes divestitures, spin-offs, and carve-outs, where you will assess the financial and operational outcomes of separating business units or assets. Understanding the nuances of these complex transactions is key to maximizing value for all parties involved.
  • • You will play a vital role in reviewing and challenging the fundamental assumptions underpinning each deal. This involves quantifying potential synergies, identifying and assessing inherent risks, and clearly articulating the key value drivers that support the transaction case. Your ability to critically examine deal parameters will ensure robust and defensible strategic recommendations.
  • • Building integrated operating models that accurately reflect the combined entity's financial performance will be a core duty. This requires a deep understanding of financial statements and the ability to forecast revenue, costs, and capital expenditures under various scenarios. Detailed transaction-related financial analysis will be performed to ensure optimal decision-making throughout the deal lifecycle.
