- • Provide comprehensive legal support across the full lifecycle of Sustainable Aviation Fuel (SAF) projects, including development, financing, construction, and operations.
- • Draft, review, and negotiate complex project agreements such as technology licensing, FEED, EPC contracts, offtake agreements, feedstock sourcing arrangements, and site/utilities/operations & maintenance agreements.
- • Advise on bankability, contractual risk allocation, and key commercial terms including delay provisions, performance guarantees, and liquidated damages to ensure project financial viability.
- • Manage legal aspects of construction phase activities, including administration of change orders, variation claims, notices, waivers, and contractor performance issues.
- • Identify, assess, and mitigate legal risks impacting project costs, timelines, and financing structures, with direct involvement in regulatory compliance and permitting processes.
- • Support project finance transactions by monitoring and advising on conditions precedent and subsequent requirements, drawdown mechanics, construction milestones, covenants, and reporting obligations.
- • Coordinate lender consent requirements for material project changes and ensure alignment between legal documentation and financing covenants.
- • Act as a trusted business partner by translating complex legal issues into clear, practical, and commercially aligned advice for internal project teams and external stakeholders.
- • Collaborate closely with cross-functional teams including engineering, finance, procurement, and compliance to ensure legal frameworks support operational execution.
- • Work with external legal advisors and consultants to ensure robust contractual governance across international jurisdictions.
- • Contribute to knowledge management by documenting lessons learned, refining internal legal templates, and developing best practices for SAF project legal documentation.
- • Maintain awareness of evolving regulatory frameworks and industry standards related to SAF production, sustainability certification (e.g., RSB, EU RED, CORSIA), and Book & Claim mechanisms.
- • Represent the Legal & Compliance Team in high-stakes project negotiations and internal discussions, balancing legal rigor with commercial pragmatism.
- • Proactively identify emerging legal challenges in the SAF value chain and recommend scalable solutions to support the company’s rapid growth.
- • Engage with global partners, airlines, and feedstock suppliers to ensure contractual obligations are met and sustainability commitments are legally enforceable.
- • Participate in internal initiatives to strengthen compliance systems and promote a culture of legal integrity within a fast-scaling, mission-driven organization.
🎯 Requirements
- • Master’s degree in Law
- • 4–8 years of relevant legal experience (law firm and/or in-house), including a minimum of 3 years focused on EPC contracts in energy or infrastructure projects
- • Strong drafting and negotiating skills with ability to balance legal risk and commercial objectives
- • Highly organized with capacity to manage multiple workstreams and deadlines in a fast-paced project environment
- • Fluency in English and Dutch
- • Proactive, solutions-oriented mindset with sound judgement and strong stakeholder management skills
