- • Provide legal advice and transactional support for global climate and carbon finance initiatives, including carbon credit generation, sales, offtake agreements, and pre-payment arrangements.
- • Structure, draft, and negotiate complex commercial agreements with for-profit entities, NGOs, sovereigns, and quasi-sovereign counterparties.
- • Advise on corporate entity structuring, governance, and management issues for global programs, subsidiaries, and affiliated entities.
- • Ensure all transactions and activities comply with The Nature Conservancy’s mission, authority, policies, and procedures.
- • Apply strong analytical and risk management skills to evaluate novel legal issues, including questions of first impression, and deliver clear guidance to non-lawyer stakeholders.
- • Collaborate closely with multidisciplinary client teams across global programs to facilitate high-value conservation and climate-related transactions.
- • Support corporate governance matters for TNC subsidiaries and affiliated entities within the Corporate Services Legal Team.
- • Communicate complex legal concepts in practical, accessible terms to non-legal colleagues to enable informed decision-making and transaction execution.
- • Work remotely within the United States with approximately 20% travel for work-related engagements.
- • Maintain up-to-date knowledge of carbon market regulations, methodologies, and evolving climate policy frameworks across jurisdictions.
- • Engage and manage outside counsel, including local legal experts in multiple countries, to support international transactions.
- • Contribute to strategic program goals by directing and managing multiple concurrent projects and transactions.
- • Foster collaborative relationships across The Nature Conservancy to align legal strategy with organizational mission and operational needs.
- • Ensure all legal work reflects the organization’s values of respect, inclusion, and cultural sensitivity in a global context.
🎯 Requirements
- • Juris Doctorate or equivalent and active license to practice law in at least one U.S. jurisdiction
- • Five (5) years of relevant legal experience, including significant drafting and negotiating of complex agreements
- • Demonstrated expertise in carbon markets, including carbon credit methodologies, offtake agreements, and pre-payment arrangements
- • Strong corporate transactional background with experience in corporate structuring and governance
- • In-house or law firm experience advising sophisticated global clients and senior management
- • Demonstrated ability to manage multiple concurrent projects and transactions in a team environment
