- • Serve as Senior Corporate Secretary responsible for the full spectrum of company secretarial matters across licensed entities in multiple global jurisdictions, including Singapore, Australia, and the Netherlands.
- • Organize, prepare, and facilitate all board, committee, and general meetings, including drafting agendas, resolutions, minutes, and presentation materials with precision and timeliness.
- • Maintain and update statutory registers, filings, and corporate records for all group entities in compliance with local and international regulatory requirements.
- • Manage corporate lifecycle activities including incorporation, restructuring, capital injections, and winding down of entities across diverse legal systems.
- • Ensure timely and accurate submission of regulatory filings to authorities in all operating jurisdictions, minimizing compliance risk and exposure.
- • Lead and coordinate external corporate service providers globally, ensuring alignment with Airwallex’s governance standards and operational efficiency.
- • Maintain and enhance entity management systems and digital corporate records to ensure integrity, accessibility, and audit readiness.
- • Advise board members and senior management on corporate governance best practices, legal obligations, risk management, and compliance frameworks.
- • Support entity-level audits, due diligence processes for financing rounds, M&A transactions, and regulatory reviews by providing accurate corporate documentation and governance insights.
- • Act as the primary liaison between the board, investors, regulators, and internal cross-functional teams to ensure seamless communication and alignment on governance matters.
- • Contribute to the implementation and enhancement of best practices in data protection, cybersecurity, and technology risk management within the corporate governance framework.
- • Demonstrate high integrity, discretion, and sound judgment in handling sensitive corporate information and confidential board-level matters.
- • Operate proactively in a fast-paced, high-growth global fintech environment, balancing speed with rigor and delivering end-to-end solutions without supervision.
- • Apply deep knowledge of corporate governance frameworks, regulatory obligations, and statutory requirements specific to financial services and fintech industries.
- • Draft board papers, resolutions, disclosures, and corporate communications with exceptional attention to detail, clarity, and legal accuracy.
- • Foster a culture of compliance and ethical conduct by embedding governance standards across global operations and supporting training or awareness initiatives as needed.
- • Collaborate with Legal, Risk & Compliance teams to align corporate secretarial functions with broader organizational risk and compliance objectives.
- • Leverage technology and systems to streamline corporate governance processes and improve efficiency in recordkeeping and reporting.
🎯 Requirements
- • Chartered Secretary / Chartered Governance Professional qualification
- • 10–15 years of relevant experience in corporate secretarial roles, with significant exposure to regulated financial services or fintech environments
- • Proven track record supporting boards and senior management in a global or regional corporate structure
- • Experience managing multi-jurisdictional entities and complex group structures
- • Deep understanding of corporate governance frameworks, regulatory filings, and compliance obligations
- • Strong drafting ability for board papers, resolutions, and disclosures with meticulous attention to detail
